How do you approach managing legal aspects during periods of instability or crises, and how does your legal strategy align with the broader business strategy to ensure the organisation’s resilience?

In every company, it is vital to identify legal opportunities that can support resilience and commercial adaptation in an organisation, for which long-term legal strategies must be developed that consider the possibility of future crises and disruptive events, to guarantee the resilience of a company in the face of a situation of uncertainty or instability. To this end, it is necessary to work collaboratively, openly, and proactively with the different areas of the company in order to have a shared vision of the risks, as well as continuously monitor changes in the legal environment and adjust the strategy, as necessary. necessary.

In our organisation, the management of legal aspects is addressed in a very proactive manner. Each year, an annual program is designed and approved that includes the dissemination and training of our regulatory compliance program, which is made up of several policies, manuals and a risk matrix that has been prepared identifying the highest risk activities for each area of the company.

The dissemination and training of the regulatory compliance program is very important, so that all employees of an organisation can raise awareness of the risks to which both the company and themselves are exposed, which is why it is essential to carry out a communication strategy hand in hand with the communications area, in order to generate a greater understanding of the company’s risks, as well as awaken the interest of collaborators to participate in activities related to the regulatory compliance program, which for many can be a little tedious or complex.

Currently, and as an initiative of the members of the regulatory compliance committee, we are developing a crisis management manual, which will help all areas of the organisation to prevent potential risk situations in the company, as well as to correctly confront them.

However, the mere development of the crisis management manual will not guarantee correct crisis prevention and management, which is why it is vital to simultaneously design a crisis preparation and management program, in order to train and give tools to both collaborators of the company as well as the spokespersons to better face a crisis situation, since having the support of the tools that contribute to better managing risks will ultimately contribute to the good corporate governance of an entity.

What measures has your company taken to embed sustainability practices into its core business operations, and how does the role of the general counsel contribute to driving and ensuring sustainable practices within the company?

For some years now and progressively in our organisation, sustainability practices have been incorporated into our main operations, both in the business processes and in the final product, which incorporates sustainability criteria in its design and construction, thus reducing the impact on the environment. Given this, the terminology “BIOIMAGINA” was born, which is nothing more than raising awareness and reflecting our commitment to the environment, integrating the latest technologies for saving natural resources and recycling, always respecting the environment, with sustainable constructions.

As a reflection of the aforementioned, several of our projects have Leed Certification, which is an internationally recognised certification system for sustainable buildings created by the United States Green Building Council, or with Edge Certification, which is a globally recognised sustainable building certification system supported by the World Bank Group, which focuses on making buildings more efficient.

Indeed, one of the notable actions is that our projects have energy and water savings, which not only means economic savings for the consumer, but also a contribution to the environment. This commitment to the planet also makes it easier for a consumer to access a green bonus from the State when purchasing their first home.

As proof once again of our interest in the environment, last year a diagnosis was carried out on sustainability issues, with the aim that in 2024 we can design and implement the corporate sustainability strategy at the level of Peru and Chile, addressing the concerns of our stakeholders at the level of sustainability and transparency.

The role of the lawyer contributes significantly to promoting and guaranteeing sustainable practices within an organization, since from the perspective of regulatory compliance, the legal risks associated with unsustainable practices must be identified and managed, designing and implementing the respective internal policies and procedures. that promote sustainability and ensure compliance with environmental, social and governance (ESG) regulations and in order to avoid possible sanctions.

Likewise, it is necessary that through the lawyer employees can be trained internally on legal, social and ethical issues related to sustainability, in order to raise awareness of the impact on the environment, as well as the risks to that the company is exposed to, thus promoting a culture of sustainability at all levels of the organization, which in our particular case is what Imagina seeks.

In this sense, the role of the lawyer in a company is fundamental to guarantee waste management, as well as the use of natural resources and above all so that sustainability in general is a concept always present in each of the processes and operations of the company, which will lead to business decisions being made considering the possible effects for both society and the company.
