How do you approach managing legal aspects during periods of instability or crises, and how does your legal strategy align with the broader business strategy to ensure the organisation’s resilience?
Firstly, it is important to know company’s general strategy to surviving the period of instability and understand the role legal team plays in it; the legal team is a business partner and, as such, a key player in implementing such strategy.
Once this has been determined, my first approach is to clearly assess which issues need to be prioritised by the legal team. This is key, for heads of the legal team to guide other team members.
During a period of crisis, it is crucial for the team to work very closely. Having regular meetings is helps to determine how we address pressing concerns and keep a close eye on the most relevant matters
What measures has your company taken to embed sustainability practices into its core business operations, and how does the role of the general counsel contribute to driving and ensuring sustainable practices within the company?
In 2023, Luz del Sur started the expansion of its electric generation business, with the main aim of setting its footprint in the renewable energy field, to provide clean and affordable energy. With this in mind, Luz del Sur completed two M&A transactions: one for the acquisition of two solar photovoltaic (PV) power plants in Arequipa, Peru; and another one related to the acquisition of two wind farms with a combined installed capacity of 129 MW in Ica, Peru. These acquisitions emphasise Luz del Sur’s commitment to Peru’s transition to sustainable energy.
The legal team has played a crucial role in achieving the above-mentioned acquisitions, providing legal assistance on the M&A scope from a regulatory perspective, as the approval of the anti-trust authority was required to close both deals.
