Bayer is a leading German life science multinational with more than 150 years of history, and has core competencies in the areas of healthcare and agriculture. Currently, Bayer’s legal team in Peru is made up of two full time lawyers; the head of legal and compliance Gerardo Guarderas, who is responsible for all legal and compliance matters involving the Peruvian organisation, and in-house lawyer Alessandra De Rossi, who reports to the head of legal and compliance and provides support on legal and compliance matters. In the last two years the local legal team has changed significantly, having seen a reduction in the number of positions to increase efficiency and the February 2017 incorporation of Gerardo Guarderas as local head of legal and compliance. ‘All changes experienced during [this] term responded to the need for developing a competent, high-performing team which could successfully fact the internal and external challenges as foreseen by the organisation’, says Guarderas. The legal team worked on Bayer’s global acquisition of Monsanto, one of the largest transactions in history involving a German company, comprising a total amount of nearly US$63bn. The legal team in Peru was in charge of leading, coordinating, advising and performing all legal activities in order to successfully achieve integration in Peru. Large transactions aside, the legal team has enforced business partnering initiatives in order to create a deep knowledge of the department’s role in the company as well as creating substantive insight on the necessities and strategies of the business. It has accomplished this by implementing regular meetings with key people from different business divisions, holding honest conversations and feedback sessions with them. ‘These actions have led the business people to feel really close and effectively supported by the legal team, having gained their trust. Also, our contribution with economic results has been more significant considering that we have been able to provide the businesses with innovative, added-value legal solutions’ explains Guarderas.
