Nexus Group is a private equity fund that has several investments, both jointly with its holding company Intercorp as well as independently. Each portfolio company has its own legal team, and all general counsels and lawyers within the department respond solely to Guillermo Cabieses, who acts as corporate general counsel, chief corporate affairs officer and principal at Nexus Group. As the principal lawyer responsible of supervising all legal matters, Cabieses focuses on M&A, structuring finance transactions and dealing with complex legal issues, as well as overseeing litigation and arbitration. The creation and implementation of a corporate general counsel role within Nexus Group in 2017 has been a positively transformative change, as before this, the private equity fund did not have its own legal team. ‘Since then, the legal teams have been organised in a more efficient manner, acting as a single group under one head’, says Cabieses. The department is made up of 12 lawyers and three support members and amongst its other leading members, legal counsel Astrid Medianero stands out for her direct support to Cabieses, with a focus on civil law and arbitration matters. Cabieses supervises the work of the legal teams in portfolio companies, which includes NG Restaurants, Intralot, San Miguel Industrias and Sinea. The legal head of these portfolio companies are based in Peru where they supervise the work of their respective related companies abroad and are described by Cabieses as ‘highly knowledgeable lawyers in their industry’. He continues: ‘Our legal team has decided to bet for quality instead of quantity. The lawyers we recruited are top experts in their different fields and have a deep understanding of the law, being able to solve every legal matter in an efficient business-orientated manner’. In 2018 the legal team was involved in the investment of Nexus Group stake in the acquisition of Quicorp for a total consideration of US$583m, and additionally worked on the 100% acquisition of Sinea, the main beverage closures producer in Latin America.
