What are the most significant cases or transactions that your legal team has recently been involved in?

Over the past year, our legal team has handled several important transactions, most of which are confidential. Here are some key highlights:

Regulatory Compliance: Our team played a crucial role in navigating the new regulatory landscape following the implementation of the “Regime da Gestão de Ativos.” We developed and implemented significant compliance strategies to align with the latest standards, minimizing legal risks and enhancing operational efficiency. Additionally, we played a pivotal role in incorporating venture capital funds and other alternative collective undertakings. These ventures operate in innovative and disruptive areas, with a strong focus on environmental, social, and governance (ESG) principles. Our commitment to sustainable investment aligns with addressing climate challenges.

Real Estate Transactions: Successfully completing the sale of an extensive portfolio comprising over 100 real estate properties to a major Portuguese private pension fund was a significant achievement. This transaction demonstrated our team’s expertise in real estate transaction matters. Furthermore, we provided crucial assistance in a major real estate deal involving one of Porto’s most iconic buildings. Our legal guidance ensured a smooth and favorable outcome.

Block Trade Transactions: Our team facilitated several block trade transactions across different jurisdictions. These transactions are key alternative investments for Fidelidade, forming a vital part of its profit enhancement and risk management strategy. They comprise a set of investments in both open and private market equity and debt, carried out in a fast-paced environment with very limited subscription timings. Ensuring compliance with local regulations and optimizing transaction outcomes under these conditions is a testament to our team’s agility and expertise.

IPO Preparation: We developed and conducted the preparation for the IPO of Luz Saúde. Although the IPO was not completed due to market conditions, our work laid a strong foundation for potential future offerings.

Other M&A transactions: we assisted the vertical integration of a new line of business by acquiring a majority stake in a company within the pet healthcare sector. This strategic acquisition improves our coverage and insurance offerings in this area, contributing to market innovation and expanding our footprint in a growing industry.

Ongoing Transactions: We are currently involved in several significant transactions, which are still underway and cannot be disclosed at this time.

Could you share an example of a time when you came up with an innovation that improved how your legal team works and did not come at a large expense?

In my role within the legal team, I’ve had the privilege of working alongside incredibly talented colleagues who bring diverse backgrounds, expertise, and experiences to the table.

Our legal team thrives on collaboration and resourcefulness, which has led to several impactful innovations. One notable example involves our approach to transactional work and asset management. While I personally didn’t initiate this change, I’m proud to be part of a team that values efficiency and cost-effectiveness.

In the scenario we faced, there was a recurring need for external legal assistance in complex transactions and asset management matters. Instead of solely relying on external lawyers, we leveraged our team’s diverse capabilities and experiences.

Our team members come from various backgrounds—some seasoned experts, others fresh talents. We recognized that this diversity was an asset. By tapping into each other’s strengths, we could handle a broader range of legal tasks internally. Senior lawyers with years of experience guided strategy and provided insights. Junior associates brought fresh perspectives and embraced technology.

We established regular knowledge-sharing informal sessions focused on practical insights, not just legal updates. Junior team members learned from these “brainstorm” sessions, while senior members gained new perspectives from tech-savvy colleagues.

We scrutinised our transactional workflows to identify bottlenecks and embraced legal tech tools for automation. This led to reduced turnaround times and costs.

We try to implement new internal procedures for common scenarios, ensuring consistency in drafting contracts, conducting due diligence, or managing assets.

The impact of these innovations was significant. We minimised external legal fees, resulting in substantial cost savings. Faster turnaround times improved client service, and everyone felt ownership of our success, fostering a positive work environment.

In summary, our legal team’s collaborative spirit and resourcefulness transformed how we operate. While I didn’t personally invent these innovations, I’m proud to contribute to a team that values creativity, adaptability, and cost-consciousness.

What is a cause, business related or otherwise, that you care about, and why?

As a firm believer in transparency, truth, and fostering a positive team environment, one cause that holds significant importance to me is environmental sustainability. It’s not just about the impact on our planet; it’s about the values we uphold as individuals and as a collective.

From a business perspective, adopting sustainable practices not only benefits the environment but also aligns with principles of honesty and integrity. By openly acknowledging the environmental challenges we face and committing to meaningful action, we demonstrate our dedication to truthfulness and accountability.

Transparency within the team is crucial in our efforts towards sustainability. By openly discussing our environmental impact, sharing ideas, and soliciting feedback from all team members, we foster a culture of collaboration and inclusivity. Everyone’s perspective is valued, and together, we work towards finding innovative solutions to reduce our carbon footprint and promote eco-friendly practices.

Sustainable initiatives, such as reducing carbon emissions, minimizing waste, and investing in renewable energy sources, not only contribute to a healthier planet but also create a more positive work environment. When employees feel empowered to contribute to a cause they care about, morale improves, and team cohesion strengthens.

Beyond the business realm, environmental sustainability is essential for the well-being of communities worldwide. By prioritising sustainability in our business operations, we not only protect the environment but also support social equity and economic stability.

Personally, I am passionate about environmental conservation because it reflects my commitment to truthfulness and responsible stewardship of the Earth. Transparency and honesty are at the core of my values, and I believe that by openly addressing environmental challenges and working together towards solutions, we can create a better future for all.
