Houston-based Carlos Solé co-chairs Baker Botts’ Latin America practice. Specialising in energy-related corporate and finance matters, Solé assists clients with structuring, negotiating and executing deals, chiefly in the oil, gas and power sectors. He acts for developers and lenders on multi-jurisdictional project finance matters, assists US and other companies with establishing manufacturing operations in Mexico and Central America, handles project agreements and shipping arrangements for sponsors, and advises US energy companies on negotiating gas and power sales. His work includes acting for a Mexican upstream company which instructed him on its participation in oil-and-gas bid rounds sponsored by Mexico’s Comision Nacional de Hidrocarburos and advising a Texan oil company on structuring its operations and investment vehicles to invest in Mexico’s increasingly liberalised upstream sector. Solé was also involved in the long-term purchase of LNG from ENGIE by Costa Norte LNG Terminal and Gas Natural Atlantico, a purchase that would provide fuel for gas-fired power generation in Panama. Another recent mandate saw him advise on a joint marketing agreement with a major energy company for the marketing of LNG in Central America and the Caribbean. Solé has led several webinars on US-Mexico energy prospects, especially in light of Mexico’s recent energy sector reforms, and has served on the Advisory Board of the International Bar Association’s Power Law Committee.
