Manuel Rajunov focuses his practice on tax consulting and transactional advice to foreign investors doing business in Mexico, as well as advising Mexican investors on their investments overseas. Based on his over 20 years of experience, Manuel’s practice has special emphasis on real estate, corporate and securities, as well as mergers and acquisitions. His extensive record in Mexico has seen him act as lead tax counsel to a consumer electronic products in the reorganisation of its Mexican operations; as lead counsel for a European-based automotive part manufacturer in the tax reorganisation of its Mexican operations; as lead Mexican counsel to a power generation systems manufacturer on the implementation of global tax strategies; as lead Mexican tax advisor on multiple global transactions with an aggregate value of $30bn; as lead counsel to a US based REIT in the restructuring of its Mexican portfolio to allow tax savings in excess of $80m; and as lead counsel and tax adviser to several foreign-based, family-owned or majority-controlled companies regarding the establishment, operation, expansion and divestiture of their Mexican operations in the manufacturing and distribution, real estate, services and retail industries. Rajunov’s M&A work in Mexico includes acting as lead counsel to a US-based consumer household products manufacturer in the acquisition of a distribution company in Mexico, in a transaction valued at $50m; a Canadian real estate brokerage company on its expansion into Mexico by acquiring a local real estate company; a US-based real estate investment fund in the acquisition, reorgansation and divestment of its Mexican real-estate property portfolio (with a net asset value average of $850m); and as co-counsel to major US conglomerate in the acquisition of a majority stake in the automotive battery division of one of the largest diversified industrial groups in Mexico. Rajunov is a frequent speaker at conferences and contributor to publications on a range of topics. He is a member of the International Fiscal Association, the International Bar Association, the Dallas Council of Foreign Relations, the Dallas Executive Committee, and the National Council. Additionally, he is chair of the Dallas Political Committee, American-Israel Public Affairs Committee (AIPAC), a fellow of the Wexner Heritage Program and a member of the board of trustees at the Center for Israel Education.
