Could you share an example of a time when you came up with an innovation that improved the way your legal team works and did not come at a huge cost?
I encountered a challenge where we needed to streamline our due diligence process to make it more efficient as we do not outsource due diligence or transactions to external counsel. We wanted to enhance our ability to assess potential investments while not significantly increasing the workload or expenses for the legal team.
We have customised checklist, tailored templates for different types of transactions and fast-efficient voting mechanisms for both the fund manager and the fund.
What are some of the key developments (legal, geopolitical or otherwise) that have affected your business over the last year?
I would say the evolution of the VC ecosystem in Romania, has brought other players, know-how and funding, crucial for the increase in the number of transactions that necessitated a proactive and adaptive legal approach.
How do you think the in-house legal role will evolve in the coming years?
I believe that the in-house role will become more tech-savvy, strategic, and interdisciplinary, with a focus on the enhancement of the overall business growth of the company.
Do you use any ���legal technology” products and, if so, what areas of your work do you find it most useful for? (For example, billing, contract drafting, e-discovery, case management, etc.)
We have created internally a voting platform for our investors in the fund that is secure, keeps logs and fund documents and it is user-friendly for both the team and the investors
Sonia Fedorovici is a general partner and the head of legal at Roca X — the largest privately funded Venture Capital Fund in Romania. Under her guidance the fund’s management team became the first Romanian management team to be registered under the European Venture Capital Regulation. Sonia holds a master’s degree in law and technology from the University of Oslo and has a strong track record in areas such as M&A, Corporate Law, IP and GDPR. She is currently involved in multiple projects dedicated to strengthening the local legal framework to better accommodate the needs of entrepreneurs and investors.
