Lynelle Bagwandeen is the Group Company Secretary & Head of Global Company Secretariat (Prosus and Naspers Limited). She joined the global technology group in August 2020. Prior to this appointment she served as Group Company Secretary and General Counsel of Netcare Limited. She is also the information officer for Naspers Limited.
She has cross sector experience having worked in banking, healthcare and now technology and the global internet space.
This enables a diverse thought process and innovative approach to governance and board engagement bolstered by her in depth knowledge of governance and listing requirements in both South Africa and the Dutch environment.
She has contributed to the successful conclusion and implementation of a number of complex legal transactions at both Netcare, Naspers and Prosus playing a meaningful role in the approval and implementation of corporate actions in both the listed environment and non-listed environment. She has also assisted in a numerous regulator led inquiries on a cross jurisdictional basis. This illustrates her unique leadership skill of navigating diverse stakeholders contributing to positive results. She has also prior to focusing primarily on governance assisted in a number of structured finance and intercreditor transactions.
She is a qualified and admitted attorney holding a LLM, LLB (summa cum laude) and BSc from the University of Natal and University of Witwatersrand respectively. She also holds a number of post graduate qualifications from numerous international universities following attendance and participation at general counsel and executive management programs at both Oxford, Stanford and currently Wharton University. She also holds a FCIS (Admitted as a fellow of the Chartered Governance Institute of Southern Africa).
She has lectured at Wits on Corporate Governance from 2019-2021 and has and continues to contribute as a key note speaker or panellist at a number of governance and legal conferences. She is also a published author on corporate governance. Her non-executive roles include acting as a director of the Hospital Association of South Africa and is the past president of the Chartered Governance Institute of Southern Africa.
