What are the most significant cases or transactions that your legal team has recently been involved in?
Over the past year, IOH Legal achieved a significant milestone by playing a pivotal role in successfully merging Indosat with Hutchison 3 Indonesia (H3I). This collaboration underscores our expertise in navigating complex telecom transactions. The merger united two complementary businesses, creating a world-class digital telecommunications and internet company in Indonesia, adding substantial value for stakeholders. This accomplishment demonstrates our strategic legal approach to intricate regulatory and operational considerations within mergers.
IOH Legal also achieved success in establishing a Joint Venture Company and a hyperscale data centre business in Indonesia, addressing the growing demand for global-standard data centres. This venture, a major foreign investment, exemplifies our commitment to excellence.
Our role in these achievements included identifying risks, clarifying concerns, and skilful negotiation. We adeptly tackled potential legal and regulatory challenges, serving as a central point of communication among stakeholders. Post-transaction, we continue supporting obligations and addressing emerging matters.

Could you share an example of a time when you came up with an innovation that improved how your legal team works and did not come at a large expense?
The legal team streamlined our contract management processes, optimising resource allocation. Faced with high contract volumes from customers, partners, and suppliers, we recognised the need for efficiency.
Led by Reski Damayanti’s multinational experience and expertise, alongside Gilang Hermawan and Agnes Pawestri, we collaborated with business, commercial, and sourcing teams. We enhanced contract templates, removing unnecessary clauses and establishing a specialised template for high-volume transactions. This template features a lock mechanism to ensure consistency.
Solid communication channels were established through regular touch points and a Microsoft Teams group. Queries are managed within this collaborative space, enhancing support. Comprehensive training empowered business, commercial, and sourcing teams, saving time for legal.
This innovation highlights our operational commitment, resource optimisation, and interdepartmental collaboration.

The legal team has been at the forefront of driving our ESG initiative. Reski Damayanti leads a dynamic steering committee comprising essential board members, while Gilang Hermawan expertly manages our diverse working team across functions.
Our ESG Framework centres on driving sustainable growth across three pivotal pillars. These pillars include dedication to sustainability and cutting emissions; leveraging digital initiatives for community uplift, bridging Indonesia’s digital gap, and promoting gender diversity in leadership; and enhancing privacy and data protection systems to meet our high standards.
Furthermore, our legal team has been instrumental in refining and drafting our annual report. This dedication to continuous improvement led us to partner with the Indonesian Institute for Corporate Directorship, enhancing the governance aspects of the report.
