Javier Ilescas
Group head of corporate legal and vice-secretary of the board | Banco Santander
Countries in Latam your role covers: Brazil, Mexico, Argentina, Chile, Uruguay, Perú and Colombia
What are the most significant cases or transactions in the Latam region that you or your legal team has recently been involved in?
In the last two years, we have been involved in the potential acquisition of Banamex in Mexico, which was abandoned in 2022. In the same year, we worked on the tender offer for Getnet in Brazil. In 2021 we had a pivotal role in the tender offer for Santander Mexico and the acquisition of WayCarbon in Brazil — an ESG consultancy firm 2022.
Some cases worth mentioning from previous years include the joint venture with Caceis for custodial business in Europe, Brazil, México and Colombia in 2019. In 2016 we were responsible for acquiring Citibank’s business in Argentina. Additionally, we were key in the tender offer for Santander Brazil in 2014, the IPO of Santander Mexico in 2012, and the sale of Banco Santander Colombia to Corpbanca in 2012.
What do you predict to be the biggest change to the Latam legal market, over the next few years?
The market will continue to grow, as it did in the past few years, with an increased degree of sophistication. Cross-border investment within Latam will likely continue to underscore the relative weight of more significant economies such as Brazil, Mexico and Chile.
What are your organisation’s plans in the Latam region over the next 12 months, and how will your legal expertise help to achieve these plans?
Our organisation will likely remain focused on organic growth, which means M&A will probably steer to joint ventures, alliances and relatively more focused or smaller transactions.
