Nordic Capital is a leading private equity investor in Northern Europe, having invested €14bn through nine funds since its inception in 1989. The Nordic Capital legal team is split across three different offices. General counsel Henrik Johansson is based in Stockholm and has the overall responsibility for the team and all legal and tax affairs of Nordic Capital. He is supported in Stockholm by two lawyers, who are seconded from relationship law firms to Nordic Capital, and one paralegal. Els Alwyn is based in Luxembourg and is responsible for all Luxembourg legal and tax matters. Katherine Wickham and Jamie Purdy are based in Jersey and support the company on legal and deal execution matters as well as fund operations. The Nordic Capital legal team works seamlessly between different offices and allocate their time mainly between deals, fund matters and portfolio company matters. Recently the legal team has been involved in a number of significant deals. For example, with valuable input from the legal function, Nordic Capital executed one of the largest ever GP-led secondaries which included the transfer of nine unlisted portfolio companies with a combined enterprise value of €4.4bn from its Fund VII to a newly established €2.5bn continuation vehicle, Nordic Capital CV1, in April 2018. Furthermore, the Nordic Capital legal team is involved in all M&A transactions of funds and one recent high-profile deal that the legal team was instrumental in was Nordic Capital’s exit of European animal health leader Anicura to Mars Petcare in 2018. Other notable transactions include various acquisitions of BOARD International, Orchid Orthopedic Solutions, Conscia and Signicat.
