What are the most significant cases or transactions that your legal team has recently been involved in?

Prior to joining SCBX, I was chief legal and compliance officer at Siam Commercial Bank (SCB). A significant achievement is my team recently advising on the SCB Reimagine project to transform SCB shareholding and business structure to a holding company structure.

This involved establishing SCBX as a new parent company for the group to manage their capital allocation and investments. The restructuring also involved a series of complicated share swap, tender offer and equity and asset spin-off transactions with many newly established portfolio entities to grant greater flexibility and independence in business operations. Our team worked closely with various regulators to ensure that all regulatory approvals could be obtained in a very tight timeline. The restructuring was successfully completed as planned by the second quarter of 2022.

As we enter the next decade, what skills will a corporate legal team need to succeed in the modern in-house industry?

At SCBX, we have shifted our focus from traditional banking business to fintech, information technology, digital asset, regional strategic investment, and sustainability related initiatives, among others. The legal and compliance team must have expertise in these key areas to navigate through legal and regulatory challenges. We also act as the group’s legal and compliance centre of excellence and provide guidance to portfolio companies in strategic investments and transactions.
