The Doğan Şirketler Grubu Holding legal team includes two executives with two senior lawyers specialised in M&As, corporate governance and corporate law. The team also has three lawyers who provide legal assistance and conduct litigation cases for the Group companies. All members of the team are experts in their own areas of practice and each bring their own expertise and talents to the team. The team has a significant impact on the day-to-day operations of the Group companies and its projects. The team’s specialised members enable high quality work on a variety of projects with the Holding’s executives and operational departments. For the Group companies and affiliates, the team prepares, negotiates, reviews, completes and conducts legal documentation for M&As, share purchases and due diligence. It also prepares and completes the establishment of companies, capital increases and decreases, amending article of associations, dissolutions and other transactions in Turkish and English. Additionally the team prepares ordinary and extra ordinary general assembly documentations and board resolutions and completes these transactions whilst covering corporate governance and capital markets legislation in Turkey and public tenders. In the last two years the team has added two new litigation specialist lawyers changing the structure of the team by allowing the senior lawyers to focus on projects and compliance. The legal team has recently been involved in the sale of Hürriyet Gazetecilik, Dogan Gazetecilik, KanalD, DSmart and other media assets of Dogan Media Group companies for a total transaction value of around US$1bn. It also worked on the sale of D&R, music and book store, as well as the merger of Doğan Holding and Doğan Yayın Holding, which is one of the biggest mergers of capital market companies in Turkey.
