BNP Paribas’ Latin America legal team for Corporate and Institutional Banking (CIB) in New York is comprised of five lawyers including head of CIB legal in Hispanic Latin America, Evan Gianoukakis and coordinator for CIB legal in Hispanic Latin America, Francesco Noero. Gianoukakis engages and understands the regional issues and leads the team in a way that satisfies the US and European standards but also accommodates the local Latin American realities. He also heads-up the US legal corporate banking and securitisation teams. Noero, as director and senior counsel, leads and coordinates the team and brings constant support, knowledge and positive energy to the business and lawyers that work in the region. His extensive work experience both in Colombian and New York law firms give him an invaluable knowledge of the many legal and cultural differences when working in the Latin American region. Morela Zubillaga de Paris, Hugo Sueiro and Raul Rivera account for the remainder of the team and fulfil crucial roles as directors and senior counsel for the department. Zubillaga de Paris draws on her long experience in New York corporate banking legal matters, as well as her experience with Latin American transactions, to help other New York lawyers understand local issues and successfully close transactions with Latin American counterparties. Her persistence and resourcefulness is a key asset of the CIB legal Hispanic Latin America team. Sueiro, has a deep knowledge of M&A, capital markets and regulatory issues as well as a very solid and practical way to solve challenges. Rivera, specialises in derivatives instruments and complex structured transactions. He has a deep knowledge of the Latin American business practices and culture and excels at narrowing the gaps and successfully intermediating between clients, the business and other functions. The members of the CIB Legal Hispanic Latin American team in New York have also been involved in more than 20 bond placements and underwritings by Latin American issuers between 2018 and 2019, as well as in many bilateral and syndicated transactions, including complex structured financing products, cash management matters and supply chain programs with BNP Paribas’ platform as well as with local platforms. Notable examples of the deals the team has orchestrated include one with Suzano Papel e Celulose in Brazil. The transaction involved a US$6.9m bond bridge and US$2.3m export prepayment facilities. This deal earned the team substantial recognition following numerous industry awards identifying the transaction as a significant accomplishment. Another notable deal the team is recognised for is with Ultramar in Chile, where BNP acted as financial advisor to Ultramar for its partnership with ATCO for a capital injection in Neltume Ports of US$340m in the largest transaction in the port sector in Latin America. Noero highlights that, ‘the most important challenges are bridging the gaps between New York law and local laws, as well documentation expectations and standards, and dealing with the application of not only local Latin American laws, but also US and European regulations that may apply to a particular activity or transaction’.
