What measures has your company taken to embed sustainability practices into its core business operations, and how does the role of the general counsel contribute to driving and ensuring sustainable practices within the company?
Peninsula has created an impact programme, with team members and external consultants specially assigned to this task. In addition to closely monitoring financial KPIs, we are in the process of implementing a Social Return on Investment (SROI) measurement on our projects. Our impact programme enables us to effectively measure and manage ESG standards in all our projects. By implementing robust monitoring and management systems, we ensure that our investments are in line with sustainable and responsible practices.
For new real estate investments, our due diligence process includes an ESG checklist; we conduct environmental and social impact assessments; and self-environmental assessments to verify the impact of our carbon footprint to enable us to define a containment reduction strategy. As part of the above process, the legal team must review, advise, and balance the financial commitments made to investors with their ESG principles, the monitoring statements and assurances provided, the SROI report, among other things.
Do you use any ‘legal tech’ products, and if so, for which areas of your work do you find them most useful?
We use Lemontech for invoicing; Global Relay for compliance and discovery; Brevity for organising and sharing corporate and fund documents.
Gastón Tarabal Villa is the general counsel and chief compliance officer of Peninsula Investments Group. Gastón has over 14 years of experience, obtained his L.L.M. from Columbia University (New York) and his J.D. from the Universidad Católica of Uruguay. Gastón is responsible for all legal and compliance matters, such as structuring funds and investments in different jurisdictions, preparing offering documents, negotiating, and drafting joint venture agreements, operating agreements, shareholder agreements and other commercial agreements, providing legal advice, conducting due diligence and compliance processes.
Prior to joining Peninsula Investments Group, Gastón was an international associate in Allen & Overy’s Projects, Energy and Infrastructure Group in Washington, DC, where he was actively involved in advising international companies and multilateral agencies, mainly in connection with infrastructure transactions in Latin America and Africa. Prior to Allen & Overy, Gastón worked as an associate in the Corporate and Banking Group of Guyer & Regules in Montevideo, Uruguay, and as commercial and legal advisor to a Brazilian international company.
