UN Global Compact member Dittmar & Indrenius makes a leading contribution to the green transition of the Finnish economy, advising clients in the energy and transport sectors on vital decarbonisation transactions and investments.
Transaction department head Mikko Eerola is a key contact in renewable energy investments and M&A. In the wind power sector, the firm assisted Ingka Investments on the Finnish law aspects of its €30m investment into the Laine, Halla, and Tyrsky offshore wind development projects. Through the mandate, the client will acquire a 49% ownership stake in the 6000 MW portfolio from renewable energy developer OX2.
In a €30m deal, the firm acted for renewable energy company Arise on its partnership with onshore wind and solar developer Pohjan Voima. Within the transaction, the client acquired a 51% controlling interest in a 1.7 GW planning and pre-planning stage renewables portfolio.
The firm also advised impact private equity fund Mirova Environment Acceleration Capital on its participation in mechanical sails provider Norsepower’s €28m financing round. The mandate, which supports the client’s responsible investment strategy, finances the research and development of rotor sail technology to help decarbonise heavy maritime transport.
Head of Corporate Advisory, Compliance & Sustainability Hanna-Mari Manninen oversees the firm’s internal green efforts. The role includes leading a partnership with consultancy Miltton, through which the firm marries strategic sustainability considerations with a legal understanding of emerging regulation toward creating green value for clients’ businesses.
As a long-term board member of WWF Finland, the firm assists the organisation with legal matters concerning biodiversity, conservation, and sustainable development. Having also been certified as a WWF Green Office since 2014, it is committed to responsible consumption and reducing its carbon footprint. To boost its sustainability credentials, it compensates unavoidable emissions generated from business travel and encourages staff to use technology to monitor and minimise their carbon footprints.
Partner Hanna-Mari Manninen, Head of Strategic Advisory
Hanna-Mari Manninen regularly advises leading corporations and financial institutions, including their boards, on corporate governance, compliance and sustainability, often in the context of significant corporate transactions, crisis management or regulatory matters. She also holds board memberships in various Finnish entities. In addition to sustainability related matters, she serves clients within the firm’s Banking & Finance team and the Fintech team. Her main area of expertise is leveraged acquisitions, corporate lending and payment services transactions. She has extensive experience in sustainable financing with in-depth knowledge of payment services regulation including PSD2.
Ms. Manninen is also the head of Dittmar & Indrenius’ sustainability program established in 2023 and the key partner in our collaboration with creative consultancy house Miltton and in our partnership with FIBS.
Partner Mikko Eerola, Head of Transaction Powerhouse
Mikko Eerola has been involved in most major cross-border energy and telecommunication related transactions on the Finnish market during 2015-2023. Mr Eerola has in recent years had a leading role in, e.g., the following transactions: Caruna, Elenia, Adven, Fortum’s various district heating assets in Finland, Loiste, creation of and add-on acquisitions for Auris Energy-group, various wind farm projects, Nevel Lämpövoima, Telia Towers Finland.
In addition to transactional work, Mr Eerola advises the firm’s clients regularly on contractual arrangements involving various forms of energy generation, regulatory matters and energy disputes.
Partner Juha-Pekka Mutanen, Head of Finance & Capital Markets
Juha-Pekka Mutanen has a strong background in both energy and natural resources work. He has been involved in both the financing and M&A context of all major energy related transactions on the Finnish market during the last several years. Mr Mutanen is also continuously involved in power plant construction projects, both working for financial institutions and contractors.
In addition to his expertise in the energy sector, Mr Mutanen in an expert in the financing of complex energy and natural resources transactions as well as negotiating commercial contracts in the natural resources sector.
Partner Kristian Karlsson
Kristian Karlsson’s main area of expertise within banking and finance is acquisition and project finance. He also represents borrowers and lenders in connection with various other types of financing transactions, including securitisation. He has a strong background in the financing aspects of both energy and natural resources assignments.
He has been involved in the financing of many major energy related transactions and projects on the Finnish market during the last several years.
