Industria Militar – INDUMIL on a litigation initiated by Team Corp. – Team Group International Holding, for claims regarding an alleged commercial agency between the parties.

The claimant requests the payment of damages regarding the performance of an alleged contract for the sale of the products manufactured by INDUMIL to the United Arab Emirates.

REPSOL EXPLORACIÓN COLOMBIA S.A.

Empresa Colombiana de Petroleos, Ecopetrol S.A., filed a direct reparation claim against Repsol Exploración Colombia S.A. for the tribunal to declare that respondent inadequately deducted sums from joint account and that respondent should pay claimant the balance of the joint account.

Posse Herrera Ruiz was retained as the counsel for the Respondent and has filed a recourse to the Tribunal’s decision to admit the claim. To date, the Tribunal has not decided on such recourse.

CEMEX LATAM HOLDINGS S.A.

Posse Herrera Ruiz represents Cemex Latam Holding S.A. (CLH) on a constitutional action related to the tender offer for the acquisition of CLH´s outstanding shares (OPA, for its name in Spanish) issued by Cemex España, S.A. (CLH’s majority shareholder).

The Plaintiff argues that the OPA issued by Cemex España, S.A. harms the collective rights to administrative morality and the integrity of the public resources of the pension funds, as the offered price was unfair and artificially low. Accordingly, the Plaintiff claims that the Superintendency of Finance of Colombia suspend the approval of the OPA or, as a subsidiary claim, that the Superintendency approve the OPA at a “real and fair” price (although the OPA has already been executed).

RUTA DEL CACAO JL HOLDCO

We advise Ruta del Cacao JL HoldCo on matters related to the concession project Ruta del Cacao, the consequences under the Concession Agreement of failure to deliver the works on time, the likeliness of the imposition of fines and the expiration of the Concession Agreement, among other issues.

CONCESIÓN LA PINTADA

We advise Concesión La Pintada on the concession project Pacifico 2, negotiations of contractual modifications with ANI related to the funding of subaccounts, negotiations related to events exempting from liability, damages occurred on the road as a consequence of the  heavy rainy season and the way ANI will assume the payment of the same, among other issues.
