Our Financial Services Practice advises local and international private and public companies, governments and government-related entities, investment funds, banks and other financial institutions across a wide range of financial or funding transactions.

From origination until completion, we are focused on delivering results that help clients  navigate through the ever-evolving and complex maze of legal, regulatory and compliance requirements to implement financing exercises, including restructuring proposals. The team regularly advises banks, financial service providers and private equity funds on their cross-border financings, such as securities lending, collateral, settlement risks, finality, and payment systems.

We are highly regarded for our ability to provide customised and practical solutions on a case-by-case basis to achieve our clients’ diverse objectives and needs. Our team works closely with the government and regulatory bodies such as Bank Negara Malaysia, Securities Commission Malaysia, the Registrar of Companies, Bursa Malaysia, the Economic Planning Unit of the Prime Minister’s Department, the Ministry of Finance, the Ministry of International Trade and Industry, and the Malaysian Communications and Multimedia Commission and has enabled transactions across multiple industries including telecommunications, internet-related transactions, energy, media, securities, pharmaceuticals, environment, insurance, banking, direct sales, wholesale and retail trade, plantation, transport, construction and infrastructure.

As a full-serviced law firm, our Financial Services Practice work closely with our Technology, Media & Telecommunications (TMT) Practice to provide IT-driven financial services including online settlement or remittance platforms, crowdfunding, Internet banking, e-money and online brokerage. We advise on all aspects of FinTech businesses, including business model developments, provision of internal rules and contracts, negotiations with authorities including obtaining licences regulatory approvals, and investment advice related to various types of FinTech businesses.

Key Experiences

  1. Malaysia Airlines Berhad
    Acted as the solicitors for the administrator of Malaysia Airlines Berhad (MAS) or the novation of aircraft lease and financing documents from the entities under administration to the new MAS entity.
  2. Maybank Islamic Berhad
    Advised Maybank Islamic Berhad in relation to the enhancement of existing legal documentation in respect of the Islamic Securities Selling and Buying Negotiated Transaction (ISSBNT) of Maybank Investment Bank Berhad.
  3. RM1.55billion facility
    Acted as the financier’s solicitors for a banking facility of up to RM1.55 billion granted to a multinational company in the telecommunication sector to finance capital expenditure, working capital, refinancing of bank borrowings and general corporate funding requirements.
  4. RM 1billion term loan
    Acted as the financier’s solicitor for a term loan facility of up to RM1 billion granted to a wholly owned subsidiary of a state-owned energy development and electric utility company to finance or reimburse capital expenditure and working capital expenses of the borrower and other subsidiaries within the group.
  5. RM400million term loan
    Acted as the financier’s solicitors for a term loan facility of up to RM400 million granted to a multinational company in the telecommunication sector to finance capital expenditure, working capital, refinancing of bank borrowings and general corporate funding requirement.
  6. RM477million banking facility
    Acted as the financier’s solicitors for banking facilities of up to RM477 million granted to a biomedical equipment maintenance and management company to part finance the supply, delivery, installation, testing, commissioning and maintenance of biomedical equipment at government clinics.
  7. RM450million term loan
    Acted as the financier’s solicitors for a term loan facility of up to RM450 million granted to a cable television provider in Malaysia to finance the infrastructure work of cables.
Islamic Finance
The key strength of our Islamic Finance Practice is the ability to merge in-depth understanding of Islamic finance and all its principles with conventional financial practices.
Our team of lawyers have broad experience in banking, finance, capital and equity markets, which give us the advantage to offer well-thought, all-inclusive solutions.
Key Experiences
  1. Development Financial Institution
    Advised a major development financial institution on its issuance of a triple A rated Sukuk of up to RM5.0 billion in nominal value under the Shariah principle of Murabahah (via a Tawarruq arrangement).
  2. 4 major Banks
    Advised four major conventional and Islamic banks on syndicated conventional and Islamic financing facilities of RM500 million in aggregate granted to a public listed property development company to finance its commercial property development project.
  3. Government ministry
    Advised a government ministry and a special purpose vehicle wholly owned by the government on the issuance of USD2 billion global Sukuk Wakala issued by such special purpose vehicle.
  4. Government linked issuer
    Advised a government linked issuer on the issuance of RM1.3 billion Sukuk Murabahah pursuant to a restructuring of the issuer and its holding company’s conventional loans.
  5. National pension fund
    Advised a national pension fund on a RM1.5 billion financing facility programme based on the Shariah principles of Bai’ ‘Inah granted to a special purpose vehicle of a government linked entity in respect of a proposed home leasing/ownership scheme.
  6. National pension fund
    Advised a national pension fund on Islamic financing facility of RM250 million based on the Shariah principle of Commodity Murabahah/Tawarruq granted to a public listed Malaysian conglomerate to finance its property development business.
  7. 2 Development Banks
    Advised on legal and regulatory issues relating to a merger and acquisition exercise involving two major development financial institutions in Malaysia.
