Our corporate and M&A team is regularly called upon to assist in domestic, cross-border and multi-jurisdictional matters.
Our team advises on general corporate matters, M&A, corporate restructurings, public and private tenders, mergers and divisions, share and asset deals, joint ventures, liquidations, corporate governance and compliance, managerial and other governing body liability and corporate finance.
Our team assists our clients in all document drafting and negotiation associated with their transactions such as due diligence; incorporation of special purpose vehicles in the context of investment and business activity structuring; the creation of charges and all types of guarantees; and, corporate financing, including drafting of the necessary legal opinions.
Corporate and M&A is always tied to tax issues and DSM’s Corporate and M&A department works constantly with its Tax Law department to devise the best solutions for clients’ business activities.
Additionally, DSM Avocats à la Cour provides day-to-day corporate support for company structures, organizes the holding of shareholder general meetings and board of director or supervisory board meetings, and represents shareholders at those general meetings.
