  • Advised Hilton Grand Vacations with an environmental due diligence review of the acquisition of timeshare company Diamond Resorts, including a review of the target’s compliance with relevant environmental obligations and related permits.
  • Advised on the Mexican portion of a multinational M&A transaction entailing the sale of Chemours’ Mining Solutions Business to Draslovka Holding company, which specializes in chemicals; the life sciences team coordinated and led the efforts on the mapping and strategy design related to the health-related permits required for the transferrals to the newly created company.
  • Advised Hilton Grand Vacations on the Mexican aspects of a multinational M&A transaction involving the acquisition of USA’s timeshare company Diamond Resorts; the life sciences team undertook a thorough due diligence review, including review of target’s compliance with Covid-19 related sanitary guidelines.
  • Advised Marriott Vacation Worldwide Corporation on the legal due diligence and review of Welk’s Mexican property, Hotel Sirena del Mar (located in Los Cabos), for its acquisition, as part of the seller’s portfolio.
  • Advised Hilton Grand Vacations on the acquisition of a condominium interest within the Hilton Los Cabos Beach and Golf Resort in Los Cabos from a joint venture of partners including Trinity Real Estate Investments in Los Cabos, for the development of its first timeshare regime in Mexico.
  • Advised on the Mexican portion of a multinational M&A transaction entailing the sale of Chemours’ Mining Solutions Business to Draslovka Holding, a Czech Republic-based private company specialising in chemicals; the Real Estate team coordinated and lead the review of the current status of certain in-development industrial facilities in Durango, as well with all steps in connection with the conveyancing of the asset.
  • Advising McCormick regarding corporate governance and corporate maintenance; internal due diligence procedures; and -primarily- the execution of service, retail, lease, storage, import/export, retail, purchase and sale agreements.
  • Currently assisting with the corporate, contractual, intellectual property and administrative necessities of BioTe Medical so that the company can expand and promote its services across Latin America.
  • Assisting Grupo Constructor Pirámide with a due diligence procedure regarding several real estate properties located across Mexico for the development of various real estate projects.
  • Representing Veolia in an amparo procedure filed against the new regulations issued by the Energy Regulatory Commission and published by the Federal Electricity Federal Commission (‘CFE’) for the calculation of electricity cogeneration fees.
  • Representing ATCO regarding the supervision and sign-off of the legal aspects for the granting of rights of way with federal, state and municipal authorities, as well as on the verification and analysis of land occupation; value: MX$50m.
  • Advising Corteva Agriscience since 2012 on the recovery of millions of pesos, derived from credits granted in agricultural commodities to producers throughout the country; value: MX$90m.
  • Advised The Chemours Company on the IP aspects of the Mexican portion of a multinational M&A entailing the sale of Chemours’ Mining Solutions Business to Czech Republic-based Draslovka Holding.
  • Advised Altos Hornos de Mexico on an administrative patent infringement litigation for a claim regarding an apparent patent violation by a third-party process for comprising aluminum into micrometric dust (for bending and cooling steel).
  • Advised Discovery Communications regarding the new location of its corporate headquarters in New York; the matter included several legal aspects and over 280 trade mark and slogan applications and registrations before the Mexican Trademark Office.
  • Advised Universal Pictures Mexico on employment termination matters, concluding the processes successfully and avoiding the risk of litigation.
  • Provided Mizuho Bank Mexico with day-to-day advice on labour and employment matters, including labour compliance.
  • Advised Lottus Capital Fund on the due diligence process and employer substitution of personnel related to the acquisition of Universidad Autónoma del Noreste in 2021.
