Work highlights

Restructuring of the Danaher Group of Companies, which included Mauritius entities. Advised on transfers of shares; reduction in capital; declaration of dividend in kind; foreign direct investments in Mauritius and share buybacks and drafted the necessary corporate authorisations, share purchase agreements, contribution agreements, intercompany loan agreements, contributions and subscription agreements and nominee agreements.
Represented Air Mauritius in the review of the lease agreement and all ancillary documents to same including but not limited to the Assignment of Insurance, Airport Authority Letters, Process Agent letter, Officers Certificates and others. We also liaised with the Department of Civil Aviation to ensure proper registration of the Aircraft on the Mauritius Register before issuing a registration opinion.
