Career

Adity is well known for her expertise in corporate and commercial laws and has received several accolades for her work including – being listed in BusinessWorld Legal’s 40 under 40 list of lawyers, being recognised as Female Dealmaker of the Year by Asian Legal Business (a Thomson Reuters publication), being identified as one of the ’10 Most Influential Women Lawyers to Watch’ by the Insights Success magazine and several other recognitions. She is experienced in handling a variety of transactions in the nature of mergers (including distressed M&A under the Insolvency and Bankruptcy Code), acquisitions, spin-offs, joint ventures, group restructuring, public and private takeovers, corporate insolvency and restructuring, and merger control. She has also advised on several corporate and shareholder disputes. Adity also regularly advises on corporate governance and general corporate and disclosure matters. Adity’s clientele includes large corporate houses, multinationals, financial institutions and funds. She also regularly advises resolution applicants on their bids under the Insolvency and Bankruptcy Code, apart from advising committee of creditors and resolution professionals.

Adity is a member of the following committees of the Bombay Chamber of Commerce – ‘Legal Affairs and IPR’; and ‘Private Equity, Venture Capital and Capital Markets’. She has written several articles on a wide range of subjects and has spoken at various seminars and conferences including those organised by CII (Confederation of Indian Industries). She has also given lectures at law schools.

Having graduated from the National University of Juridical Sciences, Kolkata, Adity began her career with the law firm Amarchand & Mangaldas & Suresh A. Shroff & Co. She later joined Argus Partners in 2009. She is admitted to practice law in India and is currently based out of Mumbai, India.

  • Advised Tata Steel Limited, on its investment in one of the biggest industrial RTC (Round-the-clock) hybrid renewable power projects in India under Group Captive Regime being set up by TP Vardhaman Surya Limited (subsidiary of Tata Power Renewable Energy Limited).
  • Advised BCCI on the media rights auction for International and Domestic Matches of the Indian Cricket Team.
  • Advised the Board of Control for Cricket in India (BCCI) in the historic Women’s Premier League (“WPL”) teams auction.
  • Advised the Board of Control for Cricket in India for the Women’s Indian Premier League (WIPL) media rights auction for the 2023-2027 cycle.
  • Advised the Board of Control for Cricket in India on the tendering of media rights for the Indian Premier League for more than USD 6 billion, making it the 2nd most valued sporting league in the world in terms of per match value.
  • Advised on India’s largest ever merger to create India’s second largest bank, HDFC Bank.
  • Advised HDFC Limited in inking the landmark deal wherein HDFC Limited has entered into an agreement to sell 10% of the fully diluted paid-up share capital of its wholly owned subsidiary, HDFC Capital Advisors, to an affiliate of the Abu Dhabi Investment Authority (ADIA).
  • Advised Tata Steel Limited, in their bid to acquire Rohit Ferro-Tech Limited through its wholly-owned subsidiary, Tata Steel Mining Limited, under the aegis of the Insolvency and Bankruptcy Code, 2016.
  • Acted as the legal advisors to Tata Steel Limited on its proposed acquisition of Stork Ferro and Mineral Industries` ferro-alloy assets. “The asset acquisition will provide an inorganic growth opportunity for Tata Steel Limited to augment its Ferro alloys processing capacities” – Business Standard.
  • We acted as the legal advisors to HDFC Limited on the investment in HDFC Capital Affordable Real Estate Fund – 3 (H-CARE-3). H-CARE 3 is one of the largest funds raised to invest in the residential real estate sector in India, with investors committing in excess of $1.22 billion towards the first close- which combined with potential reinvestments by the fund- creates an estimated total fund corpus of $1.88 billion.
  • Advised Tata Steel Limited`s indirect wholly owned subsidiary, Tata Steel Advanced Materials, on its acquisition of advanced ceramics company, Ceramat Private Limited.
  • Advised to Polygenta Technologies Limited (a leading PET recycling company engaged in sustainable circular economy), on Indian law aspects on the external commercial borrowing raised from DEG – German Investment and Development Company mbH and Danish development financier IFU.
  • Advised HDFC Limited on its stake sale of 24.48% in Good Host Spaces Private Limited, one of the largest providers of student housings in India to Baskin Lake Investment, an affiliate of Warburg Pincus.
  • Advised HDFC Limited on its acquisition of a stake in Yes Bank made pursuant to a scheme of reconstruction of Yes Bank notified by the Central Government owing to the deteriorating financial health of Yes Bank. (Recognised as IBLJ Deals of the Year 2020).
  • Advised Tata Steel Limited on the acquisition of Usha Martin (Steel Division) in one of the largest deals in the steel sector outside the framework of the Insolvency and Bankruptcy Code, 2016. (Recognised as IBLJ Deals of the Year 2019).
  • Advised Monnet Ispat and Energy’s resolution professional on the acquisition of the said company by a consortium of JSW Steel and AION Capital. (Recognised as M&A deal of the year (midsize) at the Thomson Reuters Asian Legal Business Awards).
  • Advised GRUH Finance on its merger with Bandhan Bank. (Recognised as IBLJ Deals of the Year 2019).
  • Advised Binani Cement Limited’s Committee of Creditors on the insolvency resolution of the said company and its acquisition by Ultratech Cement. (Recognised as IBLJ Deals of the Year 2019).
  • Advised Edelweiss in connection with the strategic debt restructuring of Adhunik Power and Natural Resources Limited. (Recognised as IBLJ Deals of the Year 2017).
  • Advised HDFC on the acquisition of L&T General Insurance by HDFC ERGO. (Recognised as IBLJ Deal of the Year 2016).
  • Advised Magma Fincorp Limited on its acquisition of the entire housing finance portfolio of GE.
  • Advised Mukand Limited on its joint venture with Sumitomo Corporation, Japan.
  • Advised JM Financial on an investment in it by Vikram Pandit (former Citigroup chief).
