Binder Grösswang advises Aptiv on the sale of TTTech Auto

10 January 2025 - Binder Grösswang advised Aptiv PLC, together with the global law firm Clifford Chance, on the sale of Aptiv’s equity share in TTTech Auto AG to the Dutch chipmaker NXP Semiconductors NV. TTTech Auto is a leading provider of platform products and services focusing on system safety and security for the software-defined vehicle (4SDV) and is headquartered in Vienna. The USD 625 million transaction is subject to customary closing conditions. The Clifford Chance team for Aptiv was led by partner Mark Aschenbrenner and included partner Volkmar Bruckner and associate Mona Fuchs (all Corporate/Private Equity, Munich). Deal announcement - Binder Grösswang Advises Investors on the Acquisition of large Parts of Veritas Group

Binder Grösswang has advised Turkish investor families around Mr. Baran Celik and Mr. Nuvit Gundemir in cooperation with SZA Schilling, Zutt & Anschütz on the acquisition of large parts of the Veritas Group, an insolvent German automotive and industrial supplier. Signing of the purchase agreement (asset deal) occurred on 1 December 2022 with insolvency administrator Dr. Jan Markus Plathner (Brinkmann & Partner) acting as seller. The acquisition includes the Austrian subsidiary of the Veritas Group, three German plants in Gelnhausen (Hessen), Polenz and Neustadt (Saxony) as well as all subsidiaries located in Bosnia, China, Turkey and Hungary. Binder Grösswang, in cooperation with Hengeler Mueller, advised Trill Impact on entering into a growth partnership with Komet Austria, the leading manufacturer of irrigation system components in Austria. Komet Austria produces high-quality pivot sprinklers, precision regulators and long range sprinklers, supplying regional famers worldwide through its international distribution network. The company addresses global challenges such as water scarcity, an increased demand for food caused by population growth, and issues with food security through a portfolio of products focussing on increased water efficiency, decreased energy consumption, and subsequently higher crop yields. The partnership with Trill Impact is intended to further expand Komet Austria’s global presence, in particular in strategically relevant agricultural markets. Financial details of the transaction will remain undisclosed.

Binder Grösswang Advises Nissan on the Sale of its Austrian Dealer and Distribution Network

In the course of an asset deal, the German Nissan Center Europe has sold its dealer and sales network in Austria, which is operated by its Austrian branch, to the Spanish mobility provider ASTARA MOBILITY (formerly Bergé Auto). ASTARA MOBILITY will, thus, take over all sales and service activities for Nissan in Austria. After signing the contract documentation in mid-December 2021, closing is expected to occur by the end of February 2022, once all conditions precedent have been fulfilled.

Binder Grösswang Advises Austrian Anadi Bank on Cooperation with Austria’s Tobacconists

The Austrian Anadi Bank plans to offer banking services at Austrian tobacconist shops, under the brand name “MARIE”. Therefore, it will soon be possible to have bank accounts and cards, make incoming and outgoing payments and obtain consumer loans at numerous tobacconist shops. In addition, each partner shop will have a tablet that is directly connected with the systems of the Austrian Anadi Bank; using this tablet, customers will be able to choose and order the available banking products themselves. It will also be possible to make cash transactions at the participating tobacconist shops.
