M&A and private equity: Aabø-Evensen’s M&A and private equity practitioners are recognised for their high level of expertise and experience. The firm advises bidders, targets and financial advisers on all aspects of public and private M&A deals. The firm’s work covers the entirety of M&A and corporate finance, including tender offers and take-private transactions, mergers, demergers, share exchange, asset acquisitions, share acquisitions, group restructuring, joint ventures, LBO, MBO, MBI, IBO, private equity acquisitions and exits therewith, due diligence, takeover defence, shareholder activism, M&A tax, securities and securities offerings including credit and equity derivatives, acquisition financing, antitrust, and TUPE issues. A large amount of our work relates to cross-border transactions, and the approach to international work is driven by the principle that complex transactions require first-class independent legal expertise, rooted in local practice, procedures and culture.

Capital markets: Aabø-Evensen’s ECM practice covers the full range of equity capital markets work, hereunder advice to private and public listed companies (Norwegian and non-Norwegian), Nordic and international investments banks (acting as managers), issuers, acquirers, sellers, merging parties and investors on IPOs, private placings, global offerings, block trades, dual listings, delistings, takeovers, demergers, rights issues and depositary receipts. The firm also advises on company law and securities law and has extensive pre-IPO restructuring experience.
