Andreas Doepel
As a senior specialist and Senior Counsel at Borenius, Andreas focuses on corporate regulatory and governance matters. He has more than 20 years of experience in a broad range of corporate issues and he regularly advises our clients on corporate governance issues and chairs shareholder meetings of public and privately held companies. In addition to Andreas’ role as counsel to our clients, he holds the position as Borenius’ General Counsel and, in that capacity, leads Borenius’ compliance and business risk procedures. Andreas regularly provides Borenius’ corporate clients with general company and compliance advice and support on all elements of company law – from board procedure advising to analysing corporate policies, corporate restructuring, corporate governance, company secretarial, codes of conduct, and assisting with shareholder engagement and other legal and regulatory requirements. Andreas’ expertise covers the full range of corporate governance issues including the Finnish corporate Governance Code and the modernisation of European Company Law and its implementation in Finland. In addition, he assists in preparing for and chairing general meetings of shareholders and advise boards, directors and senior management on conflicts of interest, director liability and responsibilities and other governance matters.

Partner Christian Fogelholm advises on real estate, energy and infrastructure transactions and general M&A transactions, as well as general corporate and contract law related questions. His real estate transactions experience includes single asset and portfolio transactions, sale and lease-back transactions and forward purchases, regarding office, retail and logistics assets. Emma Niemistö

Partner Emma Niemistö advises our clients on construction and project law assignments. She focuses on major industrial and infrastructure investments, construction and engineering mandates, as well as real estate development and dispute resolution. A large part of her work also includes advisory services relating to EPC(M) projects, under the FIDIC suites or similar international forms of contracts. Emma has long-standing experience in negotiating and drafting complex project agreements and providing risk and claims management advice relating to our clients’ critical projects and strategic investments. She benefits from her unique technical background in her advisory role; with a Master of Science degree in Construction Economics and Management from the Helsinki University of Technology, she draws from her understanding of project management and industrial/technical processes to get a strong handle on contract risks in demanding projects. On contentious mandates Emma represents clients in litigation and arbitration proceedings, and also acts as arbitrator in construction and supply contract disputes. Emma has also authored books on construction management contracting and contractors’ guarantee liabilities and is a sought-after speaker on topics related to construction law and dispute management. Emma heads the firm’s Projects & Construction team.

Partner Erkko Korhonen advises clients on various technology transactions and arrangements, including ICT projects, outsourcing and cloud implementation. He also advises clients on issues relating to data economy as well as data protection and privacy in general (especially relating to GDPR compliance and e-privacy matters) in addition to e-commerce, telecommunications, media and marketing and consumer laws and practices. Erkko has been involved in several IP/ICT/data driven M&A transactions, including advising clients on complex carve-out and separation arrangements and transitional services.

Partner Ilkka Aalto-Setälä has worked over 25 years with antitrust and merger control matters. Ilkka has defended successfully the client against the Finnish Competition Authority’s first attempt (Digita/Yle/Telia) to prohibit the deal. Ilkka advises companies and governmental agencies on competition and marketing law issues at national and EU level, including merger control, abuse of dominant position, cartels, state aid and public procurement. Ilkka also litigates on a regular basis before the Finnish Market Court and the European Commission. Ilkka has advised numerous domestic and foreign clients on M&A transactions and cooperation arrangements. Important authority bodies, such as National Emergency Supply Agency have also been among his clients. He heads the firm's Competition & Public Procurement team.

Jari has represented numerous clients in disputes regarding commercial and construction contracts, patents and other intellectual properties. He also represents clients in arbitration proceedings. Jari is an accredited mediator of  the Finnish Bar Association.

Jemina advises our clients on a wide range of contentious and non-contentious intellectual property matters as well as in the fields of technology and commercial contracts. Jemina regularly assists well-known brand owners and clients with the drafting of commercial agreements, brand protection and licensing as well as other commercial matters related to e.g. e-commerce, marketing and consumer laws. She is also well versed in copyright matters. During her career, Jemina has gained significant experience in IP litigation and arbitration, having assisted our clients in several high-profile cases involving trademarks, copyright, patents, unfair business practices and trade secrets both before the Finnish Market Court and higher courts. She regularly advises our clients on and represents them in infringement and revocation actions, preliminary injunction proceedings and actions for damages. Jemina’s expertise also covers regulatory matters, particularly those relating to pharmaceuticals and medical devices as well as foodstuffs. Partner Mia Mokkila specialises in listed company advisory and public M&A. She has more than 15 years of experience in handling listed company transactions that involve complex securities and corporate law aspects, such as public tender offers and mergers. Mia also frequently provides insider, disclosure, and governance advice to listed companies. Prior to joining Borenius, Mia worked at another major Finnish law firm. Her prior experience also includes working as a secondee at Nokia Corporation. Mia has served as a secretary of the Helsinki Takeover Code revision workgroup twice, once in 2013 and again in 2021–2022, and she is a member of the Finnish Bar Association’s legal expert team on security markets and finance law. Mia has also successfully completed the Certified Board Member (CBM) training programme. Mia heads the firm’s Corporate Advisory team and is a Partner in the firm’s Capital Markets & Public M&A team.

Partner Riikka Eronen advises our clients on banking and finance transactions and debt restructuring. She has extensive experience in finance transactions, including corporate lending and real estate finance as well as acquisition financing and other event-driven financing. Prior to joining Borenius, Riikka has worked as an associate at another law firm and as legal counsel at Aareal Bank AG. Riikka joined us from Danske Bank whose corporate loans franchise she most recently worked at as a loan originator. Riikka co-heads the firm’s Banking & Finance team.

Partner Robert Peldán advises on insolvency and dispute resolution. Robert has substantial experience in advising companies, creditors, lenders, investors, and other stakeholders on a variety of liquidations, distressed situations, and complex restructuring matters. During his career, Robert has engaged in more than 800 insolvency and corporate related tasks and has acted as administrator in bankruptcies and restructurings. In addition to legal insolvency proceedings, Robert has also participated in several voluntary restructurings advising both the creditors and the distressed companies.
