Main areas of practice
Antitrust/competition:

  • Successfully represented Groupama Asigurari in the antitrust litigation against the decision issued by the competition authority in a complex antitrust investigation concerning a potential exchange of commercially sensitive information among the insurance companies in Romania. We obtained a significant reduction of the fine with approximately 95%. The case also triggered a preliminary question before the CJUE, which is likely to create a landmark ruling for all EU jurisdictions.
  • A giant international tech group on all antitrust, investigative, and litigious aspects of a groundbreaking case regarding disputed tenders in the IT sector with a total value exceeding EUR 600 million. This case has been singled-out by the Competition Council as its most important case in 2025 and likely to set a precedent to be followed on several other relevant markets
  • MidEuropa on the highly complex merger clearance process and FDI notification procedure in the context of the sale of Profi to Ahold Delhaize. This is the largest horizontal merger to date in Romania.

Banking and finance:

  • Distribuție Energie Oltenia (DEO), the electricity distribution company part of Evryo Group, on a large-scale syndicated loan that refinances existing debt and adds a further RON1.76bn (EUR353m), one of the largest “green” loans ever issued on the Romanian market
  • The syndicate of banks formed by Banca Transilvania and Banca Comerciala Romana as Mandated Lead Arrangers, and Raiffeisen Bank, BRD - Groupe Société Générale, CEC Bank, ING Bank and Intesa Sanpaolo Bank Romania, as lenders on a RON3.1bn syndicated loan granted to Electrica for the partial refinancing of the existing bank debts of the group, as well as for the development of the renewable energy production portfolio
  • BNP Paribas, Crédit Agricole CIB, Credit Suisse, HSBC, Société Générale and UniCredit acting as Underwriters, Mandated Lead Arrangers and Bookrunners, Société Générale and Komerční banka acting as facility agent and security agent, respectively on the EUR1.150 billion financing of the CME acquisition, a media group which also includes ProTV, by PPF Group

  • UniCredit Bank, as intermediary, in connection with the RON580m initial public offering for the sale of newly issued shares launched by Electro-Alfa International S.A. for admission to trading on the Bucharest Stock Exchange.
  • Barclays Bank PLC as arranger for Alpha Bank Romania on the first mortgage bonds issue programme in Romania with a value of EUR 1bn
  • Autonom Services S.A., the most important independent player on the operational leasing and rent-a-car markets in Romania, on a new bond issue, with an aggregate nominal value of EUR30m and a maturity of 5 years, with a fixed annual interest rate of 6.14%.

  • One of the biggest employers in Romania on a group reorganisation, one of the biggest restructuring processes in the country, involving, inter alia, transfer of business arrangements, consultations and negotiations with trade unions, preparation of collective dismissals for hundreds of employees, handling challenges by various employees of the restructuring process, data protection, IP, corporate and real estate matters etc.
  • Regina Maria’s management on a complicated rollover of investments and management incentive schemes in the context of its sale by private equity fund MidEuropa to Mehilainen, Finland’s largest healthcare and social care provider.
  • Worldpay on the employment implications (including transfer of employees) of their build, operate and transfer venture with Endava for the development of a software development centre in Romania

Intellectual property:

  • Successfully represented the most important Hollywood studios, including Paramount Pictures Corporation, Sony Pictures Entertainment Inc., Twentieth Century Fox Film Corporation, Universal City Studios Productions LLLP, Walt Disney Studios Motion Pictures, and Warner Bros. Entertainment Inc., in the first site blocking case which has ever been tried in CEE, by suing internet service providers with the aim of blocking pirate movies websites
  • Successfully represented Regina Maria in a series of cases initiated against its close competitor on grounds of unfair competition through social media tools, corroborated with copyright and trademark infringement, as well as false advertising. The case opens interesting legal debates on assessing brand value and proving dishonest intent in commercial practices between close competitors on niche markets and sets a new enforcement trend in light of the realities of the digital era.
  • Successfully representing Ursus Breweries (UB) before EUIPO in legal proceedings against an international spirits producer aimed at cancelling the registration by the latter of a trademark which blocked the client from selling of its main beer brand (Ursus) outside Romania in other EU countries. As a result, UB can now start selling its core brand to millions of Romanians living in the EU.

Disputes & Investigations:

  • Successfully represented Electrica in a EUR800 million litigation case against the Romanian Management Company for Ownership in Energy (SAPE) for alleged breaches of the post-privatisation monitoring obligations regarding former distribution subsidiaries of Electrica
  • Successfully contributed to the creation of EU law by obtaining a ground-breaking ruling from the highest EU court to the benefit of our client, Zenith (Publicis Group). Our team obtained a favourable ruling from the CJUE, which will have a significant cross-jurisdiction impact upon how the turnover will be calculated from now on by competition authorities across EU for the purpose of setting antitrust fines
  • Successfully represented RBS Bank in an ICC arbitration held in Vienna, in relation to a contractual dispute

  • Vectr Holdings, through its subsidiary Vectr Realty Holdings, on the indirect acquisition of 100% stake in the company that owns The Landmark office building
  • Oresa on the acquisition of logistics and industrial park Solo Iasi from Tester Group

Restructuring and insolvency:

  • Trenkwalder in relation to the financial distress underwent by the Romanian subsidiary and the alternatives available to the company in order to address such financial distress
  • Banca Comerciala Romana in the complex acquisition financing by Somaco Antrepriza (which is in its turn an investment of the Swedish investment fund Oresa Ventures), of the business of Europrefabricate (a company in insolvency). The matter involved complex issues combining the financing, acquisition and insolvency areas
  • RBS Bank, Citibank, ING Bank, Piraeus Bank on the restructuring of a syndicated credit facility and ancillary bilateral credit facilities granted to the companies within International Railway Systems group and on subsequent insolvency proceedings of the latter
