Antitrust/competition:

  • Successfully represented Tymbark Maspex in an antitrust litigation in the context of the annulment of the fine imposed by the Competition Council in a high profile investigation on the food retail market
  • Groupama Asigurari in a complex antitrust investigation concerning a potential exchange of commercially sensitive information among the insurance companies in Romania
  • Electrica in court proceedings in the first ‘facilitator’ case in Romania to date in which the client was fined EUR2.3 million for allegedly facilitating a cartel between its meters suppliers

  • Banca de Export Import a României (Eximbank) as the coordinating mandated lead arranger, and a syndicate of banks on the maturity extension of revolving facilities and modification of the syndicate structure under a secured term and multicurrency revolving facilities agreement granted to Alro, as borrower, as well as in relation to related security
  • BNP Paribas, Crédit Agricole CIB, Credit Suisse, HSBC, Société Générale and UniCredit acting as Underwriters, Mandated Lead Arrangers and Bookrunners, Société Générale and Komerční banka acting as facility agent and security agent, respectively on the EUR1.150 billion financing of the CME acquisition, a media group which also includes ProTV, by PPF Group
  • The syndicate of banks made up of ING Bank N.V. through ING Bank N.V. Amsterdam – Bucharest Branch, Banca Comerciala Romana, Raiffeisen Bank SA and UniCredit Bank SA in relation to an extended credit facility in amount of US$360m granted to KMG International group for covering the regular needs in the group activity

  • Barclays Bank PLC as arranger for Alpha Bank Romania on the first mortgage bonds issue programme in Romania with a value of EUR 1bn
  • UniCredit Leasing Corporation on the bond issue aiming to attract EUR 300m on international markets
  • Autonom Services, the most important independent player on the operational leasing and rent-a-car markets in Romania, on the first corporate bond offer programme established by a local issuer and respectively, on the private placement of the first tranche of corporate bonds issued under the offer programme through which Autonom attracted over EUR48 million funds

  • One of the biggest employers in Romania on a group reorganisation, one of the biggest restructuring processes in the country, involving, inter alia, transfer of business arrangements, consultations and negotiations with trade unions, preparation of collective dismissals for hundreds of employees, handling challenges by various employees of the restructuring process, data protection, IP, corporate and real estate matters etc.
  • Worldpay on the employment implications (including transfer of employees) of their build, operate and transfer venture with Endava for the development of a software development centre in Romania
  • An international insurance company on the contemplated European reorganisation exercise which was performed in the context of the Brexit, including the smooth transfer of Romanian employees to the newly established branches of the company outside of the United Kingdom

  • Deroni Ltd., a large international food products producer, in a series of IP disputes for the protection of its trademark ‘Deroni’ in Romania against an important competitor

Litigation, arbitration and alternative dispute resolution:

  • Successfully represented Electrica in a EUR800 million litigation case against the Romanian Management Company for Ownership in Energy (SAPE) for alleged breaches of the post-privatisation monitoring obligations regarding former distribution subsidiaries of Electrica
  • Successfully represented SDEE Transilvania Nord (Electrica group) in front of the Bucharest Court of Appeal in a high profile dispute initiated by RCS-RDS, the largest Romanian telecom services provider, that intended to enter the electricity distribution market and was hence challenging through a series of high stakes administrative cases our client’s electricity distribution natural monopoly
  • Successfully represented RBS Bank in an ICC arbitration held in Vienna, in relation to a contractual dispute

Restructuring and insolvency:

  • Trenkwalder in relation to the financial distress underwent by the Romanian subsidiary and the alternatives available to the company in order to address such financial distress
  • Banca Comerciala Romana in the complex acquisition financing by Somaco Antrepriza (which is in its turn an investment of the Swedish investment fund Oresa Ventures), of the business of Europrefabricate (a company in insolvency). The matter involved complex issues combining the financing, acquisition and insolvency areas
  • RBS Bank, Citibank, ING Bank, Piraeus Bank on the restructuring of a syndicated credit facility and ancillary bilateral credit facilities granted to the companies within International Railway Systems group and on subsequent insolvency proceedings of the latter
