Sayenko Kharenko advises VR Capital on establishment of a joint venture to develop solar power plant
Sayenko Kharenko has acted as Ukrainian legal counsel to VR Capital on the establishment of a joint venture with Volterra Energy Group, the developing partner. The joint venture company is set to develop a number of solar power plant projects throughout Ukraine.
VR Capital is an alternative asset manager focused on distressed securities and event-driven/special situation investments with a strong historical orientation towards emerging markets including Ukraine.
Volterra Energy Group is a renewable energy development and investment management group focusing on solar, wind, small hydro, energy storage, and waste-to-energy technologies.
Sayenko Kharenko’s involvement in this transaction included advice on the structure of the transaction, legal support during the negotiation and conclusion of the shareholders’ agreement, legal due diligence of project companies, and preparation of documents required for their acquisition by the joint venture.
