Sayenko Kharenko has acted as legal counsel to Bel Group with respect to the completion of the disposal of its entire shareholding in PrJSC “Bel Shostka Ukraine” (“Bel Shostka”) to Lactalis. The transfer took place as a part of a larger transaction under which Bel Group disposed of its business in the Netherlands (Royal Bel Leerdammer B.V.), Italy (Bel Italia S.p.A), Germany (Bel Deutschland GmbH), Ukraine (Bel Shostka) in exchange for 23.16 per cent of Bel shares owned by Lactalis (the “Transaction“). Previously Sayenko Kharenko advised Bel Group on various Ukrainian law matters pertaining to this Transaction, which contributed to Bel and Lactalis commencing exclusive negotiations on 19 March 2021.

The additional notes will be consolidated with the existing USD 450 million notes that originally were issued in 2021 which will bring the size of the Eurobond to a total of USD 500 million.

Sayenko Kharenko has acted as a subcontractor of a polish legal counsel – Rymarz Zdort that provided legal support for Polskie Górnictwo Naftowe i Gazownictwo S.A. (“PGNiG”) during its acquisition of a controlling stake in Karpatgazvydobuvannya LLC from ERU Management Services LLC, the mother company of ERU Group (“ERU”). Karpatgazvydobuvannya LLC is a Ukrainian project company holding a special permit for exploration and extraction of natural gas in the Byblivska area in Lvivska oblast of Ukraine near Ukraine’s border with Poland. Sayenko Kharenko advised PGNiG on a range of complex issues, including due diligence, transaction documents, assisted in securing a merger clearance from the Antimonopoly Committee of Ukraine and assisted with completion of the transaction. Sayenko Kharenko advises ad hoc committee of bondholders on USD 2 billion debt restructuring by DTEK

Sayenko Kharenko has acted as Ukrainian legal counsel to an ad hoc committee of bondholders in connection with USD 2 billion debt restructuring by DTEK, the largest private energy company in Ukraine. The restructuring was implemented through two inter conditional English schemes of arrangement sanctioned by English courts and was successfully completed on 17 May 2021. Pursuant to its terms, DTEK Energy’s existing Eurobonds and bank debt have been converted into two new Eurobond issues: (1) USD 1.65 billion 7 per cent Eurobond issue by DTEK Energy maturing on 31 December 2027 and (2) USD 425 million 6.75 per cent Eurobond issued by DTEK Oil&Gas maturing on 31 December 2026. By lowering interest rates, prolonging maturity, as well as decreasing the leverage, the transaction is expected to provide for a more stable capital structure for DTEK Energy.

(“FCA”) in obtaining the necessary approval of the Antimonopoly Committee of Ukraine (the AMC) for a merger of FCA with Peugeot S.A. (“Groupe PSA”) to create the world’s fourth-largest automobile manufacturer by volume with annual sales of 8.7 million units and combined revenues of nearly €170 billion. The merger between FCA and Groupe PSA became effective on 16 January 2021 creating Stellantis N.V. Ukraine” (SCC Arbitration No. V 2015/092) originally sought USD 4.674 bln, but later increased their claim to USD 6.108 bln.

Sayenko Kharenko has acted as legal counsel to the Joint Stock Company “The State Export-Import Bank of Ukraine” in connection with the issue of USD 100 million subordinated loan participation notes. The notes were issued by Biz Finance Plc., which applied the total principal amount of the issue towards financing a subordinated loan to Ukreximbank. The transaction marks the revival of the subordinated Eurobond for Ukrainian borrowers – an instrument which has been dormant for over a decade. The last previous similar issue back in 2006 was also by Ukreximbank, with Sayenko Kharenko acting as legal counsel.

Six months of joint efforts by the Sayenko Kharenko IP Practice, the Cyber Police and the Main Investigation Department of the National Police of Ukraine have resulted in the elimination of a criminal group that specialized in the manufacturing and wholesale distribution of counterfeited laundry and household products carrying globally-known brands. These counterfeit products were produced in different facilities located in the Transcarpathian region of Ukraine, then labeled and distributed as originals throughout Ukraine, Slovakia, Hungary and Romania. Around 60 tons of counterfeited chemical produce was produced every month by the operation.

The notes have a 10 year tenor and bear a coupon of 4.375 % per annum, which is the lowest pricing for Ukraine’s euro-denominated debt. Sayenko Kharenko advised on USD 2 billion dual-tranche Eurobond issue by Ukraine Sayenko Kharenko acted as Ukrainian legal counsel to BNP Paribas, Goldman Sachs, Citigroup and J.P. Morgan Securities, joint lead managers of USD 2 billion Eurobond issue by Ukraine. The issue comprises USD 750 million notes due 2024 and USD 1.25 billion notes due 2028. A share of proceeds of the new issue has been used by Ukraine to redeem its USD 725 million zero coupon notes issued for the purposes of bridge financing earlier in 2018, while the remaining funds will be applied for general budgetary purposes of the sovereign. The issue took place on the back of prolonged negotiations between Ukraine and IMF and gives a positive signal that international capital markets are still open for the Ukrainian debt.
