Career

Adv. Shirel Guttman-Amira is one of Israel’s most experienced and respected lawyers in the field of capital markets and corporate law. Her extensive knowledge provides winning solutions, setting precedent for future transactions. In the past years, she has provided counsel and representation on an extensive number of public offerings and IPOs, valued at over USD 3 billion per year.

Adv. Guttman-Amira advises companies’ boards of directors, upper management and audit committees on broad aspects relating to the capital market, including securities and corporate law, primarily raising capital and debt (public and private), controlling shareholder transactions, corporate governance and board of director duties, dividends distribution, purchase offers, mergers and acquisitions, financing and liquidity, debt arrangements and the Business Concentration Law.

Before joining the firm, Adv. Guttman-Amira served for four years as the Director of the Corporate Finance Department at the Israel Securities Authority (“ISA”), overseeing traded companies’ compliance with the provisions of the Securities Law and regulations, and enforcing General Accepted Accounting Principles.

As part of her duties at the Israel Securities Authority (ISA), she was involved in the significant legislative processes implemented in the Companies Law (Amendments 16, 17, 18-19 and 20) and the Securities Law, and dealt extensively with the interpretation of these laws, their application to the companies traded on the Tel Aviv Stock Exchange and formulating the ISA’s positions for presentation to government bodies, public committees and courts.

Adv. Guttman-Amira also served as a lecturer in the Faculty of Law at the Hebrew University of Jerusalem, as well as at Tel Aviv University (“Regulation of the Capital Market” class), and was a member of the CPA Council.
