Career

Miri Shalit represents technology and growth companies at all stages of their development, from seed-stage start-ups to early-stage public companies to more mature public companies. Miri’s practice is focused on corporate, commercial and securities law, and covers a broad range of general corporate and complex transactional matters, including venture capital financings, mergers and acquisitions, intellectual property licensing, drafting and negotiating technology and commercial transactions, cross-border transactions, company formation, as well as general corporate counseling. Miri represents many Israeli and foreign technology companies across a wide range of industries including software, internet and new media, telecommunications and medical devices. Aside from her corporate clients, Miri also represents venture capital and private equity funds. Miri also counsels SEC-registered companies on public and private offerings, including IPOs, follow-on public offerings, tender offers, PIPE transactions, periodic reporting, disclosure issues, resale of securities under Rule 144, exempt transactions under Regulation D and Regulation S and other general corporate issues.
