Areas of practice
Corporate and commercial law:  ŠELIH & PARTNERJI Law Firm focuses not only on providing traditional corporate legal services, but also on handling structured and cross-border legal issues. Litigation and alternative dispute resolution: The firm advises on the entire spectrum of litigation, including the interpretation and performance of contracts, unfair competition, insurance law, warranty issues, damages in contract and tort, etc. The firm’s lawyers are also experienced in representing
clients in alternative dispute resolution proceedings including pre-trial settlement, arbitrations, mediations and negotiations.

Mergers and acquisitions:  The firm has extensive experience in national and cross-border M&A, including share and asset deals, mergers, demergers, takeovers, joint ventures and restructurings. Their M&A practice combines knowledge of related legal fields such as takeover law, antitrust law and financial markets law.

Real estate and construction: The real estate team assists with the acquisition and disposal of property, establishing real-estate related joint ventures, project development, drafting all real estate related agreements (i.e. leases, financing agreements, etc.), and representing clients on property-related disputes and construction litigation.

Banking and finance: The banking and finance team advises on term loans, cross-border and local syndications, mezzanine financing, consumer loans, real estate financing, project financing and PPP, securitizations, factoring, derivatives, restructuring, capital markets transactions, investment funds, etc., drafts all documentation and security instruments, and issues formal legal opinions.

Antitrust and competition:  The firm’s competition team provides representation in proceedings relating to abuse of dominant position and cartels, gives advice regarding restrictive practices, and assists clients in developing distribution systems and drafting licensing and cooperation agreements. The team also offers training in competition compliance and can provide a hotline in case of dawn raids.

Employment law: The employment law team advises on the establishment and termination of employment relationships, work place relationships, national and international company restructuring and M&A, personnel reductions and shutdowns, due diligence, and the settlement of employment disputes and litigation.

Insolvency and restructuring: The insolvency and restructuring team advises clients on restructurings and refinancing, protection of creditors’ interests in insolvency, cross-border insolvencies, management liability, acquisition of non-performing loans, assets or businesses from insolvent
estates, and voluntary liquidation.

Intellectual property: The firm handles the registration of IP rights, drafting of licences, transfers of rights and other IP related agreements, conducts due diligence, and advises on all aspects of copyright. The IP team represents clients in (among others) trademark infringement, patent and copyright disputes, including the use of injunctive measures.

Capital markets: The capital markets team covers all aspects of IPOs and private placements, capital increases, bond and convertible note issues, due diligence issues and approval processes, and assists with prospectuses, underwriting agreements and related documentation. The team also advises on the legal aspects of financial derivatives, securitizations, investment funds and similar products. Insurance law: The firm advises on all regulatory insurance matters, assists
clients with restructuring, offers representation in litigation and ADR, and assists with the relationships between insurance intermediaries and policy holders.

Energy and environmental law: The energy team advises clients on the legal aspects of potential international gas transmissions, energy trading, oil and gas exploitation and exploration interests on the local market,
