Scanfil, the Helsinki-listed leader in Electronic Manufacturing Services (EMS), has finalized the acquisition of the entire share capital of MB Elettronica S.r.l., EBS Elettronica S.r.l., Hi-Tech Elettronica S.r.l., and Cafel Elettronica S.r.l. The transaction, following the initial agreements reached in July 2025, significantly bolsters Scanfil’s global network, particularly within the Aerospace & Defense and Medtech & Life Science sectors. LCA Studio Legale advised Scanfil with a multidisciplinary team led by partner Leah Dunlop. The team included Anastasia Pallagrosi, Cristina Romagnano, and Tommaso Maria Tersilla for corporate law matters; Ranieri Romani and Lorenzo Vassalli for employment law matters; Orsola Torrani for environmental law matters; and Andrea Carreri and Francesco Doria Lamba for golden power related matters. Moreover, Antonella Perri provided tax advice, while Barbara de Muro, Alessandro Titone, and Tiziana Bonanni handled real estate matters. LCA worked in close coordination with the Finnish firm Borenius Attorneys Ltd, led by partner Janko Lindros. The shareholders of MB Elettronica were advised by BonelliErede. The firm’s multidisciplinary team was led by partners Gianfranco Veneziano and Francesca Peruzzi, supported by associates Sebastian Gaviria Garlatti and Alessandro Colasanti regarding corporate matters. The Nippo-Dutch paint manufacturer Chugoku Marine Paints BV, a global leader in the marine and industry sectors, has successfully signed the acquisition of Italo Belge Colori S.r.l., a historic company owned by the Massa family and based in Northern Italy. The acquired company is a recognized market leader specializing in coatings for metallic barrels used in the food, lubricating oil, and industrial sectors. Chugoku Marine Paints BV was advised by LCA Studio Legale in the acquisition, with a team led by the equity partners Andrea Carreri and Nicola Maffioletti, supported by Ginevra Losi and Fabrizio Miceli for corporate matters, and the partner Giovanni Morgese and Chiara Sarzi Sartori for business compliance. The Massa family was advised by Studio Legale Mordiglia, with partner Marco Lopez de Gonzalo acting as advisor to the seller.
