Andrea Bartolucci

Andrea is a partner at Giovannelli e Associati. Andrea advises issuers and underwriters on international and domestic equity and debt capital markets transactions, including first-time listings and IPOs, rights issues, block trades, debt and convertible securities offerings, eurobonds and MTN programmes, private placements and other exempt offerings. Pasquale Cardellicchio

Pasquale is a partner at Giovannelli e Associati. Pasquale specializes in dispute resolution and has gained a significant experience on the areas of banking, finance, corporate and insolvency, for the main domestic and international financial institutions. Pasquale spent the initial years of his career working on criminal law matters and has built on that experience to develop a practice in investigation proceedings by Consob or by the Public Prosecution in relation to white collar crimes and crimes against companies and public entities.

Matteo Colombari

Matteo is a partner at Giovannelli e Associati. Matteo regularly advises on corporate and commercial law, with particular focus on M&A and private equity transactions. He has a significant experience in the sale and purchase of shares and businesses and group governance issues, leveraged buy-out, acquisition finance and structured finance, mergers, joint-venture, company and debt restructuring. He is also experienced in extraordinary transactions in real estate. As to M&A transactions, Matteo regularly represents multinational companies, industrial groups, entrepreneurs and private equity funds in a wide variety of transactions both national and international, including acquisitions and divestitures of equity interests, businesses and minority investment in public and private companies. Matteo has also gained significant experience in drafting and negotiating joint venture agreements, shareholders’ agreements and commercial agreements relating to Italian and foreign clients.

Matteo Delucchi

Alessandro Giovannelli

Alessandro is a partner at Giovannelli e Associati. Alessandro advises primarily on mergers and acquisitions, buyouts, joint ventures, corporate reorganizations and restructurings. During the years, Alessandro specialized in the assistance to private equity funds or entrepreneurs in relation to investment transactions or divestitures of companies in Italy or abroad. Gianvittorio Giroletti Angeli

Gianvittorio is a partner at Giovannelli e Associati. Gianvittorio’s practice focuses on commercial and corporate law and, mainly, on M&A, particularly with regard to acquisitions and disposals of shareholdings and businesses, leveraged buy-outs, management buy-outs, private equity transactions and joint ventures and related corporate matters. Eugenio is a partner at Giovannelli e Associati. Eugenio advises primarily on corporate taxation (M&A, groups reorganization, litigation, real estate) and finance taxation (equity/mezzanine/debt instruments, capital market, investment funds, debt restructuring): he also focuses on family business’ tax issues. He is statutory auditor of industrial and financial companies. He teaches tax matters at the Master in Taxation of Il Sole 24 Ore Business School (Milan), at Milan State University’s Master in Capital Markets Law, and at the School of Chartered Accountants (Rome). He often speaks in tax seminars and conferences and is author of articles and co-author of books on tax matters. He has been actively involved in the Tax & Legal Commitee of the Italian Private Equity, Venture Capital and Private Debt Association (AIFI) since 2002, and in the International Tax and EU Law Committee at the Chartered Accountants Roll of Rome since 2013.

Fabrizio Scaparro

Fabrizio is a partner at Giovannelli e Associati. He specializes in corporate law, mergers and acquisitions and private equity. He regularly represents multinational corporations and private equity houses on a variety of domestic and cross-border business transactions, including acquisitions, divestitures, leveraged buy-outs, joint ventures, minority investments in public and private companies, and related corporate and securities matters.
