The firm: Gissin & Co was founded in 1994, and has been involved in all of the largest and most high-profile bondholder debt settlements in Israel. Adv Gissin is consistently recognised as one of the most influential Israeli lawyers in this field, personally responsible for many legal precedents.

The firm’s litigation department has extensive experience in corporate and securities disputes and it handles complex and high-profile security holder’s claims, officers and directors’ liability, shareholders disputes etc.

Gissin International - UK branch: the firm international activity led by Yael Hershkovitz - Head of the Corporate and Finance, is managed from our UK newly established branch. The main objective of the current expansion is to offer Israeli legal services and assistance to our global clientele and facilitate international clients' entry into Israeli capital markets and commercial opportunities, as well as litigation and dispute resolutions services.

The firm is a pioneer in the field of Israeli cross-border restructuring and debt settlements, and was responsible for a significant legal precedent by the Israeli Supreme Court, allowing the liquidation process of a foreign company issuing bond in Israel, to be conducted in Israel. The firm was recognised as a foreign representative and conducted significant foreign proceedings in the US and Canada by virtue of Adv Gissin’s role as the Israeli court-appointed officer, including in the recent case of Urbancorp Inc., a Canadian company that issued NIS180m bonds in the Israeli Stock Exchange, and collapsed shortly thereafter.

Commercial, corporate and securities litigation: the firm handles commercial litigation focusing on corporate and securities law, IP, corporate governance – including controlling shareholder disputes, directors and executive liability and class actions.

Insolvency – liquidations, receivership and recovery: the firm has extensive experience in receivership, liquidations, and recovery of companies in distress, as well as supporting related proceedings of insolvency, representing creditors, shareholders, banks, and corporations. The firm’s partners are frequently appointed by courts as liquidators, receivers, trustees, etc.

Commercial international transactions: the firm conducts vast international and commercial legal activity in various fields such as real estate and hi-tech. Such activity includes handling large-scale transactions such as investments, sale and finance of assets managed by the firm. Over the past year, the firm handled significant transactions in Canada, the US (New York and Tennessee), Cyprus and Netherlands and East Europe.

Class actions: the firm has extensive experience in the field of securities class actions in Israel, representing both corporations and plaintiffs. The firm has taken part in many complex and significant Israeli cases relating to the Israeli securities law and regulations.

Capital markets: the firm accompanies diversified capital markets activities on behalf of institutional investors, corporations and bond trustees. The firm provides counsel on securities law and regulations, corporate governance issues, controlling shareholders transactions, officers’ liability etc. The firm was appointed in 2015 as joint supervisor of Delek Drillings – Limited Partnership, the largest Israeli gas partnership.

Corporate finance: the firm has extensive experience in various corporate finance transactions such as credit facilities, loans, guarantees, syndication agreements, factoring etc. The firm has special expertise in advising foreign and Israeli clients regarding the regulatory aspects of the securities structure and the creation, registration and enforcement of securities in Israel.
