A successful merger and acquisition (M&A) transaction often hinges on retaining and motivating a target company's management team and workforce. To help our clients achieve their goals, Carin Carithers works hand-in-hand with members of the firm's corporate teams and our clients' human resource professionals to ensure that issues related to executives, employees, and employee benefits are carefully considered and negotiated in the transaction.

Carin provides practical advice in an area that is complex and constantly evolving. In addition to her work supporting the firm's M&A activities, Carin routinely advises clients on the implementation of tax-qualified, non-tax qualified, welfare benefit, and equity compensation plans. Additionally, she works with clients to negotiate employment and severance agreements and change-in-control bonus arrangements.
