Bruce Gilchrist, ranked as one of the leading lawyers for real estate investment trusts (REITs), has been involved in some of the largest and most complex mergers, acquisitions, and initial public offerings (IPOs) involving REITs and other real estate companies, including the first umbrella partnership real estate investment trust (UPREIT) IPO and the creation of the first hospitality UPREIT.
Clients rely on Bruce to develop transaction structures that address complicated or novel situations in mergers and acquisitions and corporate finance work, as well as to help negotiate large, multifaceted transactions.
Bruce represents entities and individuals engaged in the real estate industry, including owners and operators of hotels, office buildings and multifamily properties, homebuilders, and management companies. Bruce also advises clients on energy-and- infrastructure-related capital markets, financing, and restructuring transactions.
In his 40 years of practice, Bruce has counseled on acquisitions and business combinations involving mergers, stock purchases, asset transactions, partnership rollups and operating partnership unit transactions (both public and private), leveraged buyouts, and tender offers. He has assisted in the structuring of joint venture arrangements for the ownership or acquisition of individual properties, portfolios, and entire real estate companies. Bruce has represented issuers and underwriters in IPOs and other public offerings, as well as private placements of equity and debt securities, reorganizations, and recapitalizations.
Bruce helps clients concerning compliance with federal securities laws and regulations, including those relating to corporate governance and disclosure obligations.
