David Lai & Tan is a firm of advocates and solicitors established by Mr Tan Yee Boon, Mr David Lai Chung Yew and Mr David Cheong in 2013, offering legal advice and legal services for both contentious and non-contentious matters within the corporate and commercial arena.

The firm is dedicated and committed in responding professionally to clients’ needs in providing practical, realistic and practicable legal advice and believes in providing consistent, prompt, proactive and high-quality legal services.

The firm now has a total of fourteen  lawyers across various practice areas.

Main areas of practice
Dispute resolution: The firm is experienced in handling complex and high-profile civil and commercial litigation matters with particular emphasis in shareholders disputes, minority oppression suits, contractual disputes, insider dealings, securities laws, disputes over land/property and contentious probate proceedings and other related companies and commercial litigation matter.

The firm also handles insolvency and receivership matters, various aspects of banking litigation including foreclosure and civil recovery. It also has vast experience in technology law, property and family law related litigation, and represented clients in arbitration and quasi-criminal proceedings.

The firm also provides pre-litigation advice.

Corporate exercises and fund raising: The firm advises a diverse clientele on complex corporate exercises and restructurings ranging from shares split, rights issues, issuance of irredeemable convertible loan stocks with warrants attached and capital reductions.

Take-overs and acquisitions: The firm also has strong capability in a wide range of transactions including acquisition of companies, business and assets and take-over of Malaysian listed and private companies.

Capital fund raising: The firm provides high calibre advice on corporate finance law and capital markets transactions. We have extensive experience in advising companies seeking early financing or pre-IPO investments where we advise across a variety of industries.

Joint venture and business co-operations: The firm regularly advises on structuring, drafting and negotiating cross-border and domestic joint venture and strategic partnerships, whether as part of a reorganisation of an existing business or as a new venture.

Initial Public Offering (IPO): The firm also has extensive experience in representing various IPO candidates and public listed companies in capital raisings on Bursa Malaysia Securities Berhad and The Stock Exchange of Hong Kong Limited.

Real estate: The firm regularly advises developers in their project developments, which includes development of residential units, service apartments and retail lots. The firm’s experience in conveyancing also extends to tenancy matters, non-project sale transactions, representation(s) in sale and purchase transactions for local properties to both Malaysians and foreigners.
