Highlights of bangladesh companies (amendment) act 2020

The Companies (Amendment) Act, 2020 was recently passed in the Parliament by amending the existing Companies Act, 1994, which was published in the Gazette on 25 February 2020 with the consent of His Excellency the President and has been in force since that day. Earlier, an initiative was taken to enact a new Companies Act, which seems to have been discontinued for the time being.

Formation of a private limited company (process)

Most Bangladeshi companies are registered as private limited liability companies, commonly known as private limited companies. A private limited company in Bangladesh is a separate legal entity and shareholders are not liable for the company’s debts beyond the amount of share capital they have contributed. According to the Companies Act 1994, any person (foreign or local) above the age of 18 can register a company in Bangladesh.

Bangladesh government provides 100% tax exemption for power generation companies

- by Barrister Shajib Mahmood Alam In a move to fulfill the conditions of its Private Sector Power Generation Policy, the Government of Bangladesh issued a new circular on the 2nd Day of January, 2020. By operation of the new circular, apart from coal based companies, all power generation companies will enjoy 100% tax exemption. This incentive will be available to all power generation companies who will start operation before 31st December 2022.
