Career

Carmela directs the areas of Contractual law, Corporate law, Mergers and Acquisitions, Tax and Exchange Law. She has practiced law for more than 20 years, with major experience in commercial and corporate matters; in structuring and implementation processes of transactions for the acquisition and/or sale of companies through different vehicles, and business integrations (mergers and spin-offs); preparation of legal audits; advice on foreign investment in Colombia, as well as Colombian investment abroad and compliance with exchange obligations.

In recent years, Carmela has participated providing outstanding services in the following proyects:

Structuring and implementation of Avanto Tech S.A.S., a Fintech company in the real estate sector that developed a product to benefit customers with immediate liquidity in exchange for future cash flows.  In this sense, through the real estate companies, we managed the way in which the owner of the property could obtain from the Fintech a credit as an advance on their lease payments, giving as collateral the future lease payments.

 Under this accompaniment, the structuring of the company and the documents for the operation were designed, based on technological platforms that would immediately allow the Fintech to grant the credit and the subscription of the credit documents and the granting of the guarantees. 

Accompaniment in the structuring, design and implementation of the corporate vehicles of the company Certificadora de Carbono S.A.S., and preparation of agreements, contracts and documents, so that, in compliance with the requirements of the Greenhouse Gas emission reduction certification program, the Certificates of Emission are issued to the clients and/or projects that participate in them. Accompaniment in the structuring, design and implementation of the corporate vehicles of Ecoregistry LLC and preparation of agreements, contracts and terms and conditions that allow carrying out the system of registration and accounting of greenhouse gases by industry sectors, with respect to climate change mitigation projects and other environmental assets accepted in the different global carbon markets. Formalization of a business alliance with EAFIT University aimed at the creation of spin-off models based on technology for the creation of legal solutions in different sectors of the economy.  We are currently working on two fronts: (i) compliance issues, especially those associated with Money Laundering and Terrorist Financing regulations (SAGRILAFT) and (ii) the education sector. Creation of Suma Legal Innova S.A.S., a spin off of Suma Legal S.A.S. that seeks from science, technology and innovation, together with legal knowledge, to develop legal, economic and financial solutions to the market, hand in hand with entrepreneurs and small businessmen. Under this scheme, the aim is to offer legal capabilities to high impact projects allowing to generate economic and social development that involves all participating actors.

6. Participation in the structuring of the private equity fund “Tribe Capital Partners”.

7. Participation in the preparation of due diligence for several companies.

8. Participation in M&A and negotiation of SPA and/or SHA for companies such as Eduardoño, el Colombiano, Acerías Paz del Río, Coltejer, EMI (formerly Grupo de Emergency Médica Integral), Mineros, Onda de Mar, Divertronica Medellín, Divercity and Landers.

9. Structuring companies reorganizations and mergers of family businesses to achieve tax and administrative efficiencies.

10 Structuring and supporting companies in the agroindustrial sector such as CerroPrieto Colombia, Nucleos e Inversiones Forestales, Fruty Green, Fruty Green Packing.
