Practice areas
Capital markets:
We are historically competent in guiding clients through listings and de-listings, legal and governance audits, corporate bond issues, setting up of fund management companies, establishing foreign and local currency denominated collective investment schemes (unit trusts), as well as advising on REITS, among various capital market transactions. Our advisory services cover all areas of securities law, and public offers, including listings and de-listings, and rights issues.

Corporate and commercial law: We have over the years gained deep knowledge and vast experience in setting up and advising venture capital and private equity funds. We are proud to have advised a number of start-ups in their various financing stages. We speak Venture Capital and Private Equity fluently, and have been advisors in several privatisation and corporate restructuring transactions as well

Corporate finance: Our articulacy in corporate finance affords us a broad-spectrum of legal services derived from advising on, structuring, and drafting debt and equity financing documentation. But we go further; we are seasoned drafters of facility agreements, securities such as debentures and guarantees, loan note instruments, commercial paper and bond offer documents, and convertible debt instruments for complex financing undertakings including multi-currency transactions, syndicated loan arrangements and offshore financing.

Dispute resolution: In keeping with our strategic positioning as a niche commercial law firm, we act in specialised commercial dispute resolution on behalf of select clients who entrust us with complex commercial disputes requiring arbitration and other alternative resolution mechanisms.

Real estate and conveyancing: We extend our legal advisory services in the real estate sector to property developers, property buyers and financiers. This entails structuring of development projects, setting up of Real Estate Investment Trusts (REITS), drafting required conveyance documents including but not limited to leases, licenses, powers of attorney and sale agreements. In addition, we advise on Land Use and Planning.

Employment and immigration law: Our employment and immigration function assists clients in setting up Employee Share Ownership plans, alongside executive compensation and incentive schemes. We also offer advisory services on labour laws, employment contracts, redundancies and termination, and retirement benefits schemes. Our best work in immigration law has seen us advise and help businesses, organisations and individuals to make applications for work, investor and other permits required by foreign nationals aspiring to reside in or work in Kenya.
