GV Lawyers advised SkyWorld Development (Vietnam) Company Limited – a wholly owned subsidiary of SkyWorld Group, officially inked the acquisition deal for 100% of the charter capital of Thuan Thanh Trading Production and Real Estate Trading JSC, in order to become the developer of a condominium project of 5,206.7 square meters located at District 8, Ho Chi Minh City.

GV Lawyers assisted East Ventures Capital in a legal due diligence and M&A transaction in relation to Medigo Vietnam. Medigo Vietnam is a Vietnam-based telehealth platform that provides on-demand medicine prescription and delivery services. Medigo is the first company in Vietnam to develop a service to order drugs immediately with a pharmacist consultation. With a pharmaceutical retail market size of about $1.6 billion (BMI figures), this is an extremely attractive opportunity for Medigo and its pharmacy partners.

Case #7:
GV Lawyers adviseed Indochina Kajima Development Ltd and its subsidiaries in hospitality investment in Phu Yen province and in industrial infrastructure project in Hai Phong City.

Indochina Kajima Development (UK) Company (“IKDC”) is a joint venture development company between Indochina Capital and Kajima Corporation. Indochina Capital has been operating in Vietnam for over 20 years and has implemented 11 projects nationwide with a total project value of $1 billion including development such as The Nam Hai, Hyatt Regency Da Nang, Six Senses Con Dao and Indochina Plaza Hanoi. Kajima Corporation is an over 170 year old Japanese construction company with an active overseas development division with offices in the US, Europe, Australia, and Asia. Kajima Corporation has a total market cap of $7.5 billion.

Case #8:
GV Lawyers assisted Kusto Home in various legal due diligence to establish the legal situation of the company and M&A transactions in Vietnam. The deal closed in December 2022. Case #9:
GV Lawyers advised the sellers in the transaction of selling all equity shares of a project company holding a luxury beach spa & resort project scaling larger than 250 ha in Phu Quoc Island, Kien Giang Province, Vietnam. In this M&A deal, GV Lawyers plays a key role in providing effective legal advice on deal structure, legal review, drafting all transactional documents, and registering the economic concentration.

Case #10:
GV Lawyers advised the sellers in the transaction of selling more than 60% of the shares of a project company holding an islet tourist urban area project in Dong Nai province, Vietnam, in which the buyers are under the group of Hung Thinh Corporation. In this M&A deal, GV Lawyers plays a key role in providing effective legal advice on deal structure, legal due diligence, drafting all transactional documents, and registering the economic concentration.

Case #11:
Our lawyers have acted as legal advisors for a seller which is shareholder of TTC Green Energy Investment Joint Stock Company (“TTC Energy”), the investor of TTCIZ No. 01 solar power plant located at An Hoi hamlet, An Hoa ward, Trang Bang district, Tay Ninh province, with the capacity of 48 MW, in its transfer of 49% of shares in TTC Energy with a purchaser is Gulf Energy Development Public Company Limited (Thailand). In this acquisition deals, we played quintessential role in efficiently assisting the seller in negotiating with the purchaser and their lawyer teams in Thailand and Vietnam in terms of legal matters provided in sale and purchase shares agreement, and shareholders agreement, providing legal advices on Vietnamese Laws as well as reviewing the relevant transactional documents.

Case #12:
GV Lawyers advised the Respondent in a copyright infringement administrative lawsuit between a US-based leader in custom blow molds for the plastics industry and a product lifecycle management software company.

Case #13:
GV Lawyers provided legal advice and reviewed/drafted contracts for a beach-front resort villa complex and condotel project of Ana Mandara in Khanh Hoa, Vietnam, with a total area of approximately 29 hectares.

Case #14:
GV Lawyers advised DL Investment on purchasing stocks of a beach resort at Phu Quoc town. We acted as the sole legal advisor for the buyer to buy out stake 45% of shares in the target company to implement and develop the investment project of a tropical resort on the sea.

Cases #15:
GV Lawyers assisted South Rach Chiec City LLC – an affiliate of Keppel Land in Vietnam, in its successful corporate bond issuance of about VND2,000 billion by 02 stages of private placements for developing the Palm City Project (using 30,2 hectares of land).

Case #16:
In April 2021, the Alica ship dropped 18 containers in the Soai Rap River. GV Lawyers represented the ship owner resolving problems such as finding a missing container, negotiating rescue costs and settling damage claims. We also advised the ship owner to follow the prescribed procedures to get permission to sail to a foreign port during Ho Chi Minh City's social distancing due to the Covid-19 epidemic.

Case #17:
GV Lawyers acted as the sole legal team for the seller in selling its shares in a Vietnamese billion USD technology corporation specializing in digital content and online entertainment, social networking, and e-commerce. The buyers were a Korean investment fund and a Korean, Singaporean, and Vietnamese financial corporation focusing on asset management and investment banking. We advised the seller on the deal structure, Fx issues, tax regime, drafting – negotiating the sale and purchase shares agreement, and other transactional documents.

Case #18:
GV Lawyers advised Dai-ichi Life Insurance Vietnam Co. Ltd. and Mai Linh Group Corporation on their 15-year life insurance partnership. We advised Dai-ichi Life Vietnam on its strategic partnership with Mai Linh Group and drafted their 15-year exclusive agency contracts.

Case #19:
GV Lawyers acted as the sole Vietnam legal advisor for the seller in selling its full stake for an undisclosed sum in a Singaporean architectural structure design company; the buyer is Tokyu Construction Corporation. We assisted the seller in setting up the deal structure, drafting and negotiating the sale and purchase agreement, and other transactional documents.

Case #20:
Mekong Wind Power JSC shareholders sold 49% of their shares to Grimm Power PLC. GV Lawyers assisted sellers negotiate with purchasers and their lawyer teams in Thailand and Vietnam on legal matters in the sale and purchase shares agreement and shareholders agreement, providing legal advice on Vietnamese Laws and reviewing transactional documents.

Case #21:
GV Lawyers was the sole Vietnamese legal advisor for the IPO and Listing on the Hong Kong Stock Exchange of GHW International, an applied chemical intermediates provider in the integrated services market with a 20-year operating history. We coordinated with professional consulting agencies and other working parties in the US, UK, Europe, Australia, Cayman, BVI, China, Hong Kong, and Vietnam to support the Company's IPO and listing of securities, including legal due diligence, legal advice, and compliance.

Case #22:
