MJH Moskwa, Jarmul, Haladyj i Partnerzy – Adwokaci i Radcowie Prawni sp. p. is a modern multidisciplinary law firm with offices in Warsaw and Poznan, offering comprehensive legal services in the area of business and commercial law. Founded in 2020 by a group of seasoned partners with many years of experience at top-tier international firms, MJH combines innovative approach to legal services with expertise gathered at the local offices of such organizations like Baker McKenzie, CMS, Deloitte, SK&S and Weil, Gotshal and Manges.
As of 2024, the continuously growing MJH team consists of ca. 50 lawyers, including 11 partners, on two locations: in the heart of Warsaw and in Poznan in west-central Poland. The firm offers a full range of legal advisory services – with core M&A/PE and banking & finance/restructuring practices but also extensive expertise in competition law, capital markets, litigation, labor law, consumer protection, public aid, public procurement, European law, real estate and new technology laws. Client portfolio includes both Polish and international mandates and encompasses mainly large corporations, private equity and investment firms as well as numerous family businesses and individual entrepreneurs.
MJH advises on complex legal issues and strategic decisions but also on the legal aspects of their day-to-day business. All services are performed with utmost care about quality and client satisfaction, with full understanding that even small matters can turn out to be crucial from the client’s perspective. In line with the firm’s hands-on approach, partners are fully involved in project management and the delivery of legal services. This is combined with fully transparent and client-friendly fee policy.
The firm regularly collaborates with recognized law offices across (and on some occasions outside) Europe, serving both as inbound and as outbound counsel.
[M&A/corporate] The transactional credentials of MJH include well over 100 M&A projects serviced between 2020 and 2024. Selected highlights include assistance in the management buyout of EMPIK (largest Polish media and fashion retail chain), representation of Lagardere Travel & Retail in the acquisition of the Costa Coffee chain in Poland and the Baltics and of the leading Portuguese glass producer, BA Glass in the purchase of a major Polish glassworks. MJH has particularly strong competence in private deals on FMCG, IT/new technologies, heavy industry/logistics and telecommunication markets. At the same time, experience in capital market transactions includes two successful IPOs on the Warsaw Stock Exchange (Shoper and Captor Therapeutics) as well as complex advisory services to the Italian GI Group connected with their acquisition of Workservice, a major regional recruitment platform. The M&A practice group is led by Pawel Moskwa and Jan Jarmul and includes five additional partners.
[Banking&Finance] The banking & finance practice, headed by Dr. Krzysztof Haladyj, regularly advises on acquisition finance projects, with particular emphasis on distressed M&A. Clients are supported comprehensively – from selection of optimal financing form, through drafting and negotiation up to fulfilment of post-disbursement conditions. MJH lawyers have extensive experience in infrastructure (including PPP) and energy (including renewables) project financing. The team also advises entities at risk of insolvency in the process of financial restructuring of their debt and provides comprehensive support to creditors in securing and enforcing their receivables at all stages. Last not least, MJH regularly advises on the acquisition and disposal of debt portfolios, as well as on securitization transactions.
[Competition] Expertise of the competition law team, under the supervision of Dr. Katarzyna Karasiewicz, includes dozens of successful merger clearance filings but reaches far beyond transactional support. The team represents clients in proceedings before competition authorities in cases concerning violation of consumer interests, provides comprehensive competition law analyses, including in the area of advertising and promotion of products (including medical and food products) and their conformity with market placement requirements, assists in preparation of compliance policies and consumer regulations and offers complex structuring advice in regulated areas of the market.
