Daliah Neiroukh
Daliah is a Corporate M&A Associate with experience across all facets of major transactions, including due diligence assignments. She began her legal career at Atwan and Partners Attorneys and Legal Consultants as a trainee lawyer in 2020 and later joined Atwan Attorneys during the corporate restructuring and formal establishment of the firm. Since then, Daliah has worked diligently to build strong legal expertise in investment, corporate, and commercial matters. She is involved in a wide range of corporate and commercial transactions, including mergers and acquisitions. Having completed her fourth year working closely with the Managing Partner on nearly all transactions, we believe Daliah plays a key role in the firm’s ‘Startup and Entrepreneurship’ practice. Her experience also extends to other practice areas, including media, fintech, licensing, commercial contracts, and intellectual property matters. Daliah holds an LLM in International Commercial Law with International Dispute Resolution from the University of Reading in the UK, which enables her to effectively advise a diverse roster of national, regional, and international clients.
Mohammad Atwan
Mohammad Atwan is a Corporate and Commercial Associate at the firm, with deep knowledge of Jordanian corporate law. He works directly with all the firm’s clients on their corporate matters, including capital restructuring, company registration, and liquidation. Having completed his sixth year working closely with the Managing Partner on nearly all corporate matters, we believe Mohammad plays a prominent role in the firm’s Corporate Department. Mohammad’s role in investment deals primarily includes coordinating the legal structure of transactions, drafting all required resolutions, and representing the parties before the Companies Control Department in Jordan. He helps structure each deal in a way that aligns with both the investor’s or client’s goals and the applicable regulatory framework in Jordan. This often involves determining the best approach to secure shareholder rights in light of any restrictions under Jordanian law. Given that Jordan has specific legislation governing investments, Mohammad ensures compliance with all relevant laws and tailors the execution documents to guarantee the enforceability of the investment documentation in Jordan. Once the documents are tailored, reviewed, and approved, Mohammad’s final step is to ensure all necessary filings are completed with the Companies Control Department, as well as any other relevant regulatory authorities. This may include negotiating different versions of the Memorandum and Articles of Association with the Companies Control Department, along with submitting all supporting documents related to the transaction, such as board and shareholder resolutions.
