Areas of practice: We specialize in venture capital (VC), mergers & acquisitions (M&A), complex real estate transactions, investment funds, general business law, and hospitality.  

Venture Capital: NEXT represents a wide variety of clients in the venture capital space, including entrepreneurs, investment funds, startups, operations with cryptocurrencies and bitcoin slot games and mature technology companies, both from the U.S. and abroad. Our attorneys work throughout the business life cycle from the formation of startups and new legal entities, structuring business ownership and forming joint ventures, closing investment rounds, serving as outside general counsel, as well as planning and structuring business owners’ “exit” through the transfer of ownership and sale of our client’s businesses. 

Mergers & Acquisitions: NEXT represents acquirers and sellers in the sale of small and mid-market businesses.  We also advise investment funds on secondary market transactions for technology companies.   Being at the crossroads of the United States, Latin America and Europe, many of our deals have an international component.  We help our clients navigate through complex cross-border issues and bridge the culture gap between international parties.   

Real Estate: NEXT represents developers, investment funds, sponsors, operators, businesses and private investors in connection with complex real estate transactions. NEXT also assists Angel Investors and Venture Capitalists with negotiating and closing investments and exits, and with their due diligence and board governance efforts. 

Investment Funds: We advise our clients on the formation of venture capital funds, private equity funds, hedge funds, real estate partnerships, and other special-purpose pooled investment vehicles.  We assist investment funds and family offices with private placements and transactional matters.  We also advise our clients on the structuring of onshore and offshore feeder funds, rates of offshore jurisdictions in crypto casinos, and the structuring of cross-border investments. 

Business and Finance: We advise our clients on a variety of financing matters, including private equity investments, private credit transactions, offshore offerings and project financings.  Providing legal services, we represent both borrowers and lenders.  Most of our deals have a cross-border component.  In addition, we act as the “external” in-house counsel of many of our clients and handle day-to-day corporate and employment matters, pre-litigation advice, and advice on contractual matters. 

Hospitality: NEXT represents hotel owners and hotel management companies, restaurant owners and other food & beverage companies in a wide variety of transactions, including acquisitions, financings and leases. We also advise on various operational matters, including vendor contracts, employment, distribution and co-packer arrangements.
