About Sandeep has been with J. Sagar Associates since 2008 and specializes in foreign investments, mergers and acquisitions, joint ventures, collaborations, technology transfers, inbound and outbound investments, takeovers, business transfers, private equity, corporate restructuring, reconstruction and related infrastructure transactions. He has been advising Indian and foreign clients on corporate, commercial, employment and real estate laws and related legislations. He has been practising law since 1994. He was a partner for over six years with Little & Co., Advocates & Solicitors.

Experience Some of the key assignments in these areas handled and being handled by Sandeep, amongst others, cover the following: - • Representing TRAFIGURA GROUP in its Joint Venture with ROSENEFT and UCP INVESTMENT GROUP to acquire majority shares of ESSAR OIL LIMITED engaged in refinery business. • Represented AMERICAN & EFIRD GLOBAL, LLC, U.S.A. (A&E) (a part of KPS Capital Partner’s Portfolio Companies) to acquire majority ownership of VARDHMAN YARNS AND THREADS LIMITED (Vardhman Yarns and Threads), joint venture company, from its joint venture partner, VARDHMAN TEXTILES LTD. (Vardhman Textiles). Vardhman Yarns and Threads is the second–largest manufacturer and distributor of premium quality industrial and consumer sewing thread in India. • Represented TREVES S.A.S., France (Treves) for the sale of 50% of its shareholding in the Indian joint venture company, SUPREME-TREVES PRIVATE LIMITED (Supreme-Treves) to its Indian joint venture partner, SUPREME NONWOVENS PRIVATE LIMITED (Supreme). Supreme has increased its shareholding from 50% to 100% in Supreme-Treves. Supreme-Treves was formed as a joint venture between Supreme and Treves in 1996 and is the leading manufacturer of Interior Trims & NVH components for the automobile industry in India. • Representing BRENNTAG (HOLDING) B.V., Netherlands for acquiring the majority shareholding of RAJ PETRO SPECIALITIES PRIVATE LIMITED from its existing promoter shareholders. Raj Petro Specialities Private Limited is engaged in manufacturing and sale of chemicals. • Representing GILBARCO VEEDER ROOT INDIA PRIVATE LIMITED to acquire the fuel dispensing units and LPG dispensers business of MIDCO LIMITED as a going concern by slum sale. • Representing UK CLIMATE INVESTMENTS LLP to acquire minority equity shareholding of CLEAN MAX SOLAR. • Advising a leading global Private Equity Investor group, on acquisition of equity stakes of another global energy investor, held in two Indian entities engaged in wind energy sector in India. The Indian leg of the transaction was part of the global transaction between the transaction parties involving 18 infrastructure projects across various continents.

• Representing KRONES INDIA PRIVATE LIMITED to acquire majority shareholding of UNICORN INDUSTRIES LIMITED from its existing shareholders by Krones India. Unicorn is engaged in the business of manufacturing, selling and distribution of food and beverage processing equipment and machineries.
