Alexandr César
Alexandr César
Alexandr César serves as head of the Competition Practice Group and co-head of the Mergers & Acquisitions Practice Group in the Firm’s Prague office. Mr. César has extensive experience handling privatizations and acquisitions in the Czech Republic, particularly in the telecommunications, heavy industry, banking and finance, as well as oil, gas and energy sectors. He regularly counsels clients on legal issues involving takeover regulations, business assets and share transactions. Mr. César is likewise actively engaged in the restructuring of bad asset portfolios of bank loan facilities, acquisition and mezzanine financing, as well as other corporate structures of multinationals. He also counsels on foreign trade-related procedures and international trade agreements, including foreign trade with military materials.
Dušan Hlavatý
Dušan Hlavatý
Dušan Hlavatý heads the IPTech practice in Baker McKenzie Prague and is a member of the Prague core M&A team. Dušan has been involved in numerous cross-border transactions and projects. He has been recognized by Legal 500 as a Rising Star in both IP and TMT. Dušan joined Baker McKenzie in 2014. He is admitted to the Czech Bar Association and the Slovak Bar Association. Dušan regularly advises on transactions involving private and public companies, particularly focusing on TMT and energy sectors. He also has considerable experience advising on technology and outsourcing projects. Dušan is also experienced in the management of trademark portfolios, copyright, product piracy and customs seizures, as well as unfair competition. Furthermore, he deals with privacy issues as well as matters relating to telecommunication, cyber security, digital media, gaming, e-commerce and automotive. Additionally, he provides complex legal advice to private equity funds and venture capital clients with respect to various matters of their investments as well as matters relating to joint ventures and shareholder agreements.

Eliška Komínková has more than seven years experience as a tax consultant, focusing mainly in the areas of value added tax and customs. Ms. Komínková’s practice focus is Czech and European regulations relating to customs, value added tax, comprising preparation of value added tax returns, tax and customs audits and consultancy. Ms. Komínková advised on tax issues in several M&A projects between international leading companies, assisted in the implementation of VAT-efficient (supply chain) structures for various types of companies, provided support to local companies during litigation.
Kristína Doupal
Kristína Doupal
Kristína Doupal heads the Firm’s International Commercial & Trade Department in Prague, focusing on trade and commercial law matters. She advises clients in relation to a range of trade and commercial law issues, litigation and arbitration, as well as regulatory proceedings. Kristína advises on all aspects of international commercial law including, inter alia, international trade, distribution and agency agreements, franchising, advertising and consumer protection. Kristína has extensive experience and often counsels on foreign trade-related procedures, including international sanctions and export control issues. She regularly conducts due diligence investigations involving both Czech and Slovak companies. Kristína also has experience in regulatory proceedings, including public procurement proceedings. The advisory in connection with public procurement proceedings mainly includes structuring of strategy in public procurements, evaluation of technology issues and assistance in negotiations with contracting authorities. Finally, Kristína’s experience in the field of dispute resolution includes legal advisory and representation in commercial litigations, insolvency proceedings and related litigations, employment and tax litigations, as well as domestic and international arbitration proceedings. She often advises investors on treaty planning, and leveraging international protections in the context of government interference. In addition, she regularly provides advice in the areas of information technology including domain name disputes. She also advises with respect to Czech and Slovak criminal law matters with the main focus on the white collar crime.

Libor Basl
Libor Basl leads the Banking & Finance Practice Group in the Prague office. He is recommended as a leading finance lawyer in the Czech Republic by IFLR 1000. Mr. Basl advises on a broad range of acquisition, securities and capital market transactions. Mr. Basl routinely focuses on privatizations and tax-driven post-acquisition restructuring, including squeeze-outs, mergers and sales of enterprise. He also assists clients in complex banking and finance matters, including the drafting and negotiation of loan and security documentation. Mr. Basl provides sound counsel on divestments of non-performing and under-performing assets.

Marek Disman heads the Firm's Real Estate & Environment Practice Group. Marek advises on complex real estate matters as well as on due diligence investigations. His practice also involves advising on legal aspects of commercial leases, sale and lease back transactions and real estate and acquisition financing.
Martin Hrodek
Martin Hrodek
Martin Hrodek heads the Dispute Resolution Practice Group at the Firm’s Prague office.  In addition to his practice, Mr. Hrodek authored a section on Czech merger control regulations in The Global Merger Notification Handbook and has published several articles on the rights of minority shareholders and dispute resolution in major Czech periodicals, including Hosdoparske noviny and Ekonom. Mr. Hrodek works on litigation and arbitration matters, particularly those related to mergers and acquisitions. He also advises industry clients on a wide range of commercial matters, including private equity, divestitures and private competition claims.
Martina Marchand
Martina Marchand is a member of the Firm’s Dispute Resolution and Employment & Compensation practice groups in Prague. She represents clients in litigation, arbitration, commercial and civil law matters, as well as in labor law issues. In 2017, Martina participated in the Firm’s “Associate Training Programme” and worked in the São Paulo office as a member of the local arbitration team. Martina's practice focuses on litigation and arbitration matters. She has provided legal advisory to major Czech banks and key industrial players in both domestic and international arbitration proceedings (including proceedings pursuant to the Rules of the International Court of Arbitration of the International Chamber of Commerce). Martina has also participated in various business and labor-law disputes before the Czech civil courts. Additionally, Martina counsels on general labor law advisory services, such as employment and management agreements, organizational changes, discrimination, disability, health and safety regulations and non-compete issues. She also advises on trade union and works council matters and dismissals.
Michal Malkovský
Michal Malkovský
Michal Malkovský is a member of the Firm's Antitrust & Competition and Mergers & Acquisitions practice groups in Prague. Before joining Baker McKenzie, Michal worked at the European Commission's Directorate-General for Competition on antitrust investigations in the telecommunications and digital sectors. Michal advises clients on merger control, foreign investments screening, abuse of dominance cases, cartel investigations and various antitrust compliance issues. In connection with M&A, Michal advises on cross-border acquisitions and divestments, performs due diligence investigations, assists with drafting of contractual documentation and handles follow-up corporate issues. Michal also provides complex structuring and regulatory advice in connection with corporate mergers, spin-offs and restructurings.
Milena Hoffmanová
Milena Hoffmanová heads the Prague office Pharmaceuticals & Healthcare group. Her practice covers pharmaceuticals and healthcare matters, compliance, general commercial law, administrative law, as well as data protection and privacy law matters. She studied law at the University of Limerick in Ireland prior to graduating from the Law Faculty of Charles University in Prague in 2008. Ms. Hoffmanová’s practice focuses mainly on ensuring compliance with legal regulations as well as ethical standards relating to medicinal products and medical devices, including assisting with drafting of internal company guidelines and policies and labeling/packaging requirements. She also advises on anti-corruption compliance matters, including the extraterritorial application of US law, such as application of the Foreign Corrupt Practices Act and foreign bribery laws. She has experience in a broad range of compliance matters, including corporate and regulatory investigations, FCPA and global anti-corruption compliance, compliance program development and anti-corruption due diligence, including data privacy issues such as cross-border data flows, data security, whistle-blower hotlines, e-monitoring and other privacy-related issues.

Petr Vojtěch is an associate in Baker McKenzie’s Banking and Finance Practice Group in Prague. Petr mainly advises major Czech banks and key industrial players in domestic and international markets on regulatory issues, due diligence projects, and general financial and commercial law.
Petra Jilgová-Benešová
Petra Jilgová-Benešová serves as head of Baker McKenzie Prague’s Corporate Registration Department. She supervises all client corporate changes and their subsequent registration with the Commercial Register. Petra graduated from the Law Faculty of the Charles University in Prague in 1997. Petra's practice focuses on corporate law, banking and finance, and mergers and acquisitions. She handles a broad range of banking and finance matters, providing complex structuring and regulatory advice in connection with mergers, acquisitions — including privatization transactions — and corporate restructurings.

Tomáš Skoumal
Tomáš Skoumal is the managing partner of the Firm’s Prague office, where he also heads the Mergers & Acquisitions Practice Group. Tomáš has vast experience with all aspects of M&A, private equity and corporate restructuring in various CEE jurisdictions (including Slovakia, Poland, Germany and Austria) as well as in former Yugoslavia, and represents public and private companies on a wide range of mergers and acquisitions across a diverse range of industries. Tomáš focuses in particular on complex cross-border M&A assignments, energy and infrastructure related assignments and transactions in healthcare/pharmaceuticals, manufacturing and educational sectors.
Zuzana Ferianc
Zuzana Ferianc practices mainly in the areas of employment and labor law, restructuring and corporate governance and mergers & acquisitions. She earned her Master’s Degree in Commercial Law at the Economics University in 2002, and her Master’s Degree in Law at the Law Faculty of Charles University in 2004. Zuzana focuses on labor law (employment agreements, organizational changes and restructurings, employee transfers, discrimination, non-compete issues, incentive schemes and dismissals) and in M&A transactions.
