Founded in 1875 in New York, Proskauer Rose established its Paris office in 1991. The firm has one of the leading transactional practices in France. Private Equity:
Proskauer’s highly regarded private equity team in Paris provides first-rate representation to national and international investment funds, debt funds, senior banks, industrial and services groups as well as sponsors and lenders. We are actively involved in all aspects of the private equity life cycle, partnering with clients on their most complex and high-profile domestic and cross border private equity transactions. We have extensive wide-ranging capabilities and experience spanning mid-cap and upper mid-cap private equity, private and public M&A and leveraged finance, including direct lending and restructuring. Our experience spans a broad range of industries, including financial services, telecoms, infrastructure, energy, manufacturing, healthcare, retail, industrials, media and technology.

M&A:
Our Paris based M&A team advise on the full range of business combinations – cross border and domestic, such as acquisitions/divestitures of privately-owned and listed companies, tender offers, joint ventures and strategic alliances, contributions of assets, mergers and spin-off and leveraged buy-out transactions. Our strong presence in key financial centers around the world allows us to serve our clients’ interests globally. We have a deep understanding of the structuring, cultural and procedural issues that are often at the center of complex cross-border transactions. Finance:

The Paris Finance Group enjoys an excellent reputation in the market with a team of lawyers bringing to bear a remarkable breadth of expertise in LBOs and leveraged acquisition finance, representing financial institutions (mainly debt funds) as well as sponsors and borrowers. Our experience extends to the acquisition finance of listed companies, public offerings and block acquisitions. We also advise debtors, creditors and/or sponsors in the context of leverage debt restructuring operations and we are well positioned to engage in transactions globally, with offices in major financial centers around the world.

The diversity of our finance practice gives us unparalleled market knowledge, and our representation of both lenders and borrowers provides us with the ability to appreciate critical deal points from the perspective of all parties to the transaction.

International Arbitration:
The firm’s international arbitration group handles the full range of cross-border commercial disputes, including those involving mergers and acquisitions, investments, distribution contracts, licensing agreements, supply and manufacturing contracts, shareholder agreements and joint venture agreements. The partners in its group act as counsel and arbitrator in international arbitrations involving corporations from the US, Europe, Latin America and Asia and held all over the world and under all the major international arbitration rules, including in particular those of the International Chamber of Commerce (ICC), the American Arbitration Association’s International Centre for Dispute Resolution (ICDR), the London Court of International Arbitration (LCIA), the Japan Commercial Arbitration Association, and the Swiss Chambers of Commerce.
