Career

Fernando Hernández  is Founding Partner of VAHG and has more than 23 years of professional experience handling cross-border transactions, such as M&A and corporate restructuring transactions involving securities, stocks, assets and intangible property or strategic joint ventures. Fernando is very business oriented and has global perspective for matters, he is very strategic and skilled when negotiating and due to his experience in this matter since 1994, he can cover the different angles involved. Also his practice includes advising foreign investors doing business in Mexico since their incorporation, development and expansion as the case may be and providing to them a legal full-service capability.Over the years he has acted in M&A deals involving different jurisdictions including USA, UK, Canada, Spain, France, Germany, Netherlands, Italy, Austria, Luxemburg, Argentina, Brazil, Costa Rica, Guatemala, Japan, Hong Kong, among others.

Fernando has a strong practice in structuring transactions and different commercial contracts, including distribution and license agreements. He has acted as counsel for one of the largest Banks in Mexico in Guadalajara, Jalisco during the past 20 years. Fernando Hernández has advised on loan and structuring and restructuring and providing legal opinions mainly for banking institutions in order to confirm the legal feasibility of the transaction to be executed by banking institutions and their clients. Such transactions may be related to loan transactions and securities, preparing the corresponding agreements and legal documents. He has also participated in numerous transactions representing other financial institutions as well as borrowers in different industry sectors and helped restructuring financing structures for the largest/covered exhibition center in Latin America and government loans.

Mr. Hernández has focused his practice handling different cases that involve corporate structures for the preservation of national and foreign IP rights, working jointly with worldwide authorities to achieve the widest protection and supervision. Fernando has developed a very specialized corporate practice in the Tequila industry and has advised in the protection of such Appellation of Origin in more than 44 countries.

Likewise, Fernando has vast experience in Real Estate representing foreign investors and real estate developers in Guadalajara, Baja California, Puerto Vallarta and Punta Mita. He has represented clients in acquiring land for future development for industrial developments, housing projects, hotels and office buildings. He structured an innovative legal structure for the construction of the first high scale integrated innovation center in Mexico.

Fernando is very active in international Networks (UIA, NYSBA and Consulegis) and therefore is used to dealing with international legal practices and cultures in jurisdiction around the world and constantly participates in international conferences as speaker presenting cases in M&A and panels relating to foreign investment and M&A.

He is also Commercial Notary Public of the State of Jalisco since 2001.

Spanish and English. Fernando is an Expert and Official Translator of English - Spanish and vice versa licensed by the Supreme Court of the State of Jalisco.

Active member of the National Association of Corporate Lawyers (ANADE); Chairman of the Mexican Committee of the��Union Internationale des Avocats (UIA); International section of the New York State Bar Association (NYSBA); member of the Board of Colegio de Corredores Públicos del Estado de Jalisco. Likewise, he has been Secretary of the Board of Directors of several national and international corporations. Vice Chair of Consulegis, EEIG and Chair of the Legal Committee of the Industrial Sector Council in Jalisco (CCIJ).

Education

Fernando is graduated with honors from Universidad Panamericana Campus Guadalajara obtaining his law degree. He obtained a (MBA) Masters in Business  Administration from MEDEX, Instituto Panamericano de Alta Dirección de Empresas (ranked 1st in Latin America) and three Postgraduate studies in Economic and Corporate Law, Contract Law, and Tax Law, all of them from Universidad Panamericana Campus Guadalajara.
