Adam, partner and head of the Reading office, specialises in corporate finance work, including mergers and acquisitions, MBOs/MBIs, private equity transactions (acting for management and investment entities), restructurings, joint ventures, shareholder agreements and general company law. Adam works on large, high-profile and complex transactions across numerous business sectors. Clients range from SMEs to multi-nationals and listed companies. Recent deal highlights include acting for the shareholders of Resourcing Solutions Limited on the disposal to Matchtech PLC, advising the management team of Sabio Limited on the £50 million MBO backed by Lyceum Capital Partners and advising the UK subsidiary of the Celli Group on its acquisition of Angram Limited.

Ryan is a senior associate in our Milton Keynes Corporate practice. He advises on a wide range of corporate and insolvency-related transactions and matters, including mergers and acquisitions, management buy-outs, business disposals and group restructures, distressed sales and purchases including pre-packs, various aspects of corporate governance, company formation, joint ventures and shareholder agreements. He advises public sector clients such as the National Crime Agency and has worked on public sector matters including the recent nationalization of Northern Rail from Arriva to the OLR. Ryan also assists on various finance, banking and insurance-related matters.

Chris heads the Corporate and Banking team in Milton Keynes. He leads our team offering a wide range of expertise and experience in mergers and acquisitions, corporate governance and financing, with particular strengths in owner-managed businesses, venture technology and emerging growth companies, private equity, automotive retail, insurance, manufacturing, acquisition finance and real estate finance. The team has considerable experience in both domestic and cross-border corporate and finance transactions. The team also includes our Company Secretarial unit which services more than 400 companies, many for household name groups. Chris is a corporate and finance specialist. His own practice includes international mergers and acquisitions, fundraising for venture technology and emerging growth companies, advising on complex corporate governance matters including shareholder rights and finance work for both lender and borrower, with a particular focus on UK real estate finance. Chris has previously worked in Dentons' Budapest office as well as being seconded to The Royal Bank of Scotland plc.

Specialising in working with owner-managed businesses and established SMEs, Harriet works on a range of commercial and corporate matters, leading to some describing her as more like a partner in their business than an external lawyer. Her broad skill set means that she regularly advises on commercial contracts, including areas concerning data protection, as well as corporate restructurings, share incentive schemes and business or share acquisitions and disposals. Harriet has worked in Thames Valley since qualification, and became a partner in 2018. Her clients range from industrial SMEs and businesses in the finance sector, to UK subsidiaries of distribution companies and suppliers in the film and television industry. Harriet enjoys working with clients to achieve their commercial objectives and goes the extra mile to understand the pressure points for businesses and provide valuable strategic advice in the context of the legal issue.

Andrew has considerable experience dealing with acquisitions, disposals, investment/shareholders’ agreements, share schemes, bespoke articles of association (with different classes of shares, drag & tag, good & bad leaver provisions, growth shares), loan notes, commercial agreements (including supply, distribution and e-commerce), corporate governance and share buy-backs.
